Average Purchaser Stock Price definition

Average Purchaser Stock Price shall refer to the lesser of (i) the average of the closing price of the Common Stock of the Purchaser on the Nasdaq Stock Market for the twenty (20) trading days ending on the last trading day prior to a given date, or (ii) the closing price of the Common Stock of the Purchaser on the Nasdaq Stock Market on the last trading day on the day prior to a given date.
Average Purchaser Stock Price means the per share volume-weighted average price (rounded to the nearest cent) of the Purchaser Common Stock on NASDAQ from 9:30 a.m. to 4:00 p.m., New York City Time, on the ten NASDAQ trading days ending on and including the third trading day prior to the Determination Date as found on Bloomberg page UMBF<equity>VWAP (or its equivalent successor page if such page is not available), or if such volume-weighted average price is unavailable, the market price (rounded to the nearest one-hundredth) of one share of Purchaser Common Stock during such period, determined using a volume-weighted average method as calculated by RBC Capital Markets, LLC.
Average Purchaser Stock Price means the average of the closing sale prices of one share of Purchaser Common Stock on the Nasdaq, as reported by Bloomberg L.P., for the trading days included in the Determination Period, rounded to the nearest whole cent.

Average Purchaser Stock Price means the VWAP for the thirty (30) consecutive Trading Days ending on (and including) the Trading Day that is immediately preceding the Closing Date.

  • Purchaser Stock Price means, with respect to any Common Stock Fundamental Change, the average of the daily Closing Price for one share of the common stock received by holders of the Common Stock in such Common Stock Fundamental Change during the 10 Trading Days immediately prior to the date fixed for the determination of the holders of the Common Stock entitled to receive such common stock or, if there is no such date, prior to the date upon which the holders of the Common Stock shall have the right to receive such common stock.
