Bespoke Model means the Model created by VUCITY at the request of the Customer in accordance with the Bespoke Model Addendum;

Bespoke Model any Model created by the Supplier which has been specifically designed for the Client. For the avoidance of doubt, a Model does not become a Bespoke Model until it has been approved by the Customer in writing. Until such approval in writing is provided, the Customer shall not use the Model except for the purpose of testing the suitability and reliability of the Model to enable such written approval to be provided. Examples of Bespoke Model in a sentence

  • VUCITY shall invoice the Customer for the Bespoke Model Maintenance Fee annually for the duration that the Customer continues to have access to the Bespoke Model.

  • Customer Software means software which is owned by or licensed to the Customer;

  • Proprietary Software means computer software developed for and owned by the Failed Bank for its own purpose and use.

  • Standard Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Standard Software.

  • System Software means Software that provides the operating and management instructions for the underlying hardware and other components, and is identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Systems Software. Such System Software includes, but is not restricted to, micro-code embedded in hardware (i.e., “firmware”), operating systems, communications, system and network management, and utility software.

  • Developed Software means software specifically designed for the Principal under the Contract. Depending how advanced its development is, it may be either a Product or a Service or both.

  • Contractor Software means software which is proprietary to the Contractor, including software which is or will be used by the Contractor for the purposes of providing the Services.

  • SAP Software means: (i) any and all software products and Cloud Services licensed to Customer under the License Agreement as specified in software order forms or Cloud Service Order Forms (or other order forms, schedules or appendices as applicable) thereto; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to the respective support agreement or warranty obligation and (iii) any complete or partial copies of any of the foregoing.

  • Module means specific portion of the Application Software designated as such in the Documentation made available to the Customer under the Notification Form.

  • Supplier System means the information and communications technology system used by the Supplier in performing the Services including the Software, the Equipment and related cabling (but excluding the Customer System);

  • Base Case Model means the financial model and statements including profit and loss, balance sheet and financial projections reflecting the forecasted consolidated financial conditions of the Group for the term of this Agreement (for these purposes assuming both before and after the incurrence of the indebtedness under the Finance Documents), each in form and substance satisfactory to the Finance Parties addressed to, and/or capable of being relied upon by the Finance Parties.

  • Software Product means any COTS which you propose to provide pursuant to the contract.

  • Server Software means software that provides services or functionality on a computer acting as a server.

  • Supported Software means the supported software identified in the Proposal. System means the designated information technology environment in which the Software is to be used. Term means the term of this Agreement specified in clause 2.
