Bona Fide Collaboration definition

Bona Fide Collaboration means a collaboration between Alnylam and one or more Third Parties involving Research, Development, Manufacture and/or Commercialization of one or more Alnylam Products and established under a written agreement in which (a) the scope of the licenses granted, and financial or other commitments of value, are of material value to Alnylam, and (b) Alnylam undertakes and performs substantial, mutual research, development and/or commercialization activity with the Third Party. For purposes of clarity, it is understood and agreed that no collaboration in which all or substantially all of Alnylam’s contributions or anticipated contributions are or will be in the form of the grant by Alnylam of licenses or sublicenses to one or more intellectual property rights will be considered a Bona Fide Collaboration.
Bona Fide Collaboration means a collaboration between Alnylam and/or its Affiliates and one or more Third Parties involving the Research, Development, Manufacture and/or Commercialization of one or more RNAi Products and/or xxXXX Products and established under a written agreement in which (a) the scope of the licenses granted, and financial or other commitments of value, are of material value to Alnylam and/or its Affiliates, and (b) Alnylam and/or its Affiliates undertakes and performs substantial, mutual research activity with the Third Party. For purposes of clarity, it is understood and agreed that no collaboration in which all or substantially all of Alnylam’s or its Affiliates’ contributions or anticipated contributions are or will be solely in the form of the grant by Alnylam or its Affiliates of licenses or sublicenses to one or more Intellectual Property Rights, will be considered a Bona Fide Collaboration.
Bona Fide Collaboration means a collaboration between a Party and one or more Third Parties involving the Research and Development of one or more RNAi Products (and/or xxXXX Products in the case of ALNYLAM) and established under a written agreement in which (i) the scope of the licenses granted, and financial or other commitments of value, are of material value to such Party, and (ii) such Party undertakes and performs substantial, mutual research activity with the Third Party. For purposes of clarity, it is understood and agreed that no collaboration in which all or substantially all of ALNYLAM’s contributions or anticipated contributions are or will be in the form of the grant by ALNYLAM of licenses or sublicenses to one or more intellectual properties will be considered a Bona Fide Collaboration.

  • GSK shall provide Zymeworks with prompt notice of any such sublicense to any Third Party that it grants other than to the extent that GSK is prevented, pursuant to terms of agreement entered into between GSK and its Third Party (each, a “GSK Bona Fide Collaboration Agreement”), from disclosing the identity of such Third Party or the nature of the collaboration between GSK and such Third Party.

  • Notwithstanding the foregoing, during the Fast Dye Restricted Period Vertex shall be entitled to Supply Fast Dye Products and provide any services employing Fast Dye Products to up to two (2) Bona Fide Research Partners (which are parties to Bona Fide Collaboration Agreements) per each calendar year period ending on December 31 during the Fast Dye Restricted Period.


More Definitions of Bona Fide Collaboration

Bona Fide Collaboration means a collaboration (pursuant to a written agreement) between the relevant Member or one of its Affiliates, on the one hand, and a Third Party, on the other hand, involving the Development of mxXXX Compounds or mxXXX Therapeutics in which such Member or such Affiliate plays an integral, though not necessarily dominant or co-equal, role in the decision-making, relating to the Development of mxXXX Compounds or mxXXX Therapeutics, and which may, thereafter, involve the Commercialization of any such mxXXX Compounds and mxXXX Therapeutics.
Bona Fide Collaboration means any collaboration between Sangamo and a Third Party that is a Therapeutic Collaboration or a Sangamo Internal Program Collaboration or in which neither Sangamo nor a Sangamo Affiliate receives any compensation.

Bona Fide Collaboration means a substantive research and/or development collaboration or agreement between an End-User and any Third Party which includes the ability for End-User to obtain samples from and share data with such Third Parties. For the avoidance of doubt, End-Users shall not be allowed to charge such collaborators on a fee for service basis or perform genotyping services for such collaborators.
