Bonus Employees definition

Bonus Employees means the persons whose names are set in the table in Part C of Schedule 1; Claim means a Warranty Claim, an Indemnity Claim, RC Claim and/or a Tax Claim; Claim for Tax has the meaning given to it in the Tax Schedule; Companies Act or the Act means the Companies Xxx 0000; Company's Bank Account means HSBC Bank, account name: CBS Xxxxxx Ltd, sort code: 40-18-22 and account number: 00000000; Completion means the performance by the parties of the obligations (to the extent not previously waived under this agreement) assumed by them under clauses 8.2, 8.3 (other than clauses 8.3.3 and 8.3.4), 8.4 (other than clause 8.4.4) and 8.5. For the avoidance of doubt, Completion shall be deemed to have occurred notwithstanding that the events referred to in clauses 8.3.3, 8.3.4 and/or 8.4.4 have not occurred (and no person waives any of their rights pursuant to such clauses);
Bonus Employees means those employees of the Fidelity Companies entitled to transaction bonuses pursuant to the Transaction hereunder, as listed on the First Closing Consideration Spreadsheet.
Bonus Employees shall have the meaning specified in Section 1.3(d).

It also includes all employees who are or have been previously employed by the Office and whose current position has placed them in the bargaining unit represented by CSEA. For those latter employees, for purposes of this article only, the “date of hire” is the date upon which the employees’ employment status changed as such that the employee was placed in the CSEA unit.

  • Former Employees means Former Parent Group Employees and Former SpinCo Group Employees.

  • Incentive Compensation Plans means annual incentive compensation plans and long-term incentive compensation plans of the Company, which long-term incentive compensation plans may include plans offering stock options, restricted stock and other long-term incentive compensation.

  • Relevant Employees means the employees of the Contractor (including the Transferring Employees) who are wholly or mainly assigned to work in the provision of the Services and who are/will be the subject of a Relevant Transfer by virtue of the application of the TUPE Regulations.
