Bonus Factor definition

Bonus Factor means a percentage to be determined in the reasonable discretion of the Issuer (billiges Ermessen) (§ 315 German Civil Code (BGB)) on the Strike Date on the basis of the market conditions prevailing on such date and will be published in accordance with § 13 hereof. The indication for the Bonus Factor based on the market conditions as of 28 January 2013 is 30% (in any case, it will not be below 25%).
Bonus Factor means, in respect of any Participant, the numerical factor determined by the Committee for purposes of such Participant's participation in the Plan. A Participant may be awarded additional Bonus Factors in the Plan. In such event, each additional Bonus Factor shall be separate and independent of any prior or subsequent Bonus Factor awarded to such Participant under the Plan.

  • The Compensation Committee may adjust the Personal Performance Bonus Factor or any measure or otherwise increase the Personal Performance Bonus otherwise payable in order to reflect changed circumstances or such other matters as the Compensation Committee deems appropriate.
