Broadband Options definition

Broadband Options has the meaning set forth in the Employee Benefits Agreement.

  • AT&T and AT&T Broadband acknowledge that, in the context of the Separation Transactions, the adjustment to AT&T Options as set forth in this Section 0 will be implemented, in part, by the issuance of Broadband Options under the terms of the Broadband Adjustment Plan.

  • Accordingly, it is intended that, to the extent of the issuance of such Broadband Options in connection with the adjustments set forth in this Section 5.3, the Broadband Adjustment Plan shall be considered a successor to the AT&T Long Term Incentive Plan and to have assumed the obligation of the AT&T Long Term Incentive Plan to make the adjustment of AT&T Options as set forth in this Section 5.3.

  • Options means any rights, warrants or options to subscribe for or purchase shares of Common Stock or Convertible Securities.

  • Parent Options means options or other rights to purchase shares of Parent Common Stock issued by Parent.

  • Stock Reload Option means any option granted under Section 6.3, below, as a result of the payment of the exercise price of a Stock Option and/or the withholding tax related thereto in the form of Stock owned by the Holder or the withholding of Stock by the Company.

  • Rollover Options has the meaning provided in Subsection 3.1(h).

  • Replacement Options means options to acquire shares of Acquisitionco (or one of its Affiliates) granted in exchange for Company Options pursuant to an Employee Rollover Agreement;
