Business Revenue definition

Business Revenue means (a) in the case of the Series A Exchangeable Preferred Limited Partnership Interest, the consolidated revenue of Newmark and its Subsidiaries for the three-month period ended September 30, 2019, as disclosed on Newmark’s quarterly report on Form 10-Q for the quarterly period ended September 30, 2019 and (b) in the case of the Series B Exchangeable Preferred Limited Partnership Interest, the consolidated revenue of Newmark and its Subsidiaries for the three-month period ended September 30, 2020, as disclosed on Newmark’s quarterly report on Form 10-Q for the quarterly period ended September 30, 2020.
Business Revenue means revenue of the Business for a Calculation Period, as determined on an accrual basis in accordance with GAAP, consistently applied for the Calculation Period. For purposes of this definition, Business Revenue shall exclude revenue derived from the reimbursement of out-of-pocket expenses by clients or customers of the Business.

Business Revenue means all revenue of the Water Business (determined in a manner consistent with past practices of Sellers) that would have been received by Buyer during the Adjustment Period pursuant to the Produced Water Agreement and the Water Services Agreement assuming each such agreement had been entered into at the Effective Time; provided, however, that if the Water Services Agreement has not been entered into on or before the Closing Date in accordance with Section 6.14, then the revenue associated with the Water Services Agreement shall not be included for purposes of the calculation of Business Revenue.
