Buyer Works definition

Buyer Works means a Work, trade secret, trademark, moral right, or other domestic or foreign intellectual property right owned by IBM or its Affiliates that is used by Supplier to provide the Services. Buyer Works shall include IBM Software.
Buyer Works means those materials developed under a Contract which the parties agree shall be owned by Xxxxx. Unless otherwise agreed during the Contract process, Buyer Works shall be those materials which meet the following three (3) criteria: (i) commissioned by Xxxxx using Buyer ideas, (ii) produced by Seller, and (iii) the production of said Documentation was paid by Xxxxx.
Buyer Works means the Civil Works, the Electrical Works and any other works to be carried out by Buyer or by Other Contractors on behalf of Buyer as more particularly set out in Article 4.1. of Part B of the Agreement.

Examples of Buyer Works in a sentence

  • Before allowing Seller Personnel to perform any work under the Contract relating to the specified Buyer Works, Seller will promptly deliver both assignments to Buyer upon execution.

  • This effect makes it possible to compensate for the tendency towards decreasing marginal returns on accumulable factors such as physical and human capital, thus resulting in sustained growth of the per capita product.

  • To the extent any Buyer Works is, as a matter of law, not a Work made for hire, Seller hereby assigns and shall assign to Buyer the copyrights subsisting in the Buyer Works, together with all of the exclusive rights under such copyrights.

  • Seller and Seller Personnel shall preserve all Buyer Works in confidence and shall not use, duplicate, or disclose any Buyer Works for any purpose, other than the performance of the Work or any other contract with Buyer, without the prior express written permission of Buyer.

  • This is in the understanding that the Buyer Works are expressly excluded from the Servicer scope of works.

  • All Goods/Services delivered/performed at should reach Buyer Stores before 5.00 p.m. on weekdays except that no deliveries/ dispatches shall be made or accepted on Sundays or holidays at Buyer Works.

  • Buyer shall be responsible for performing (or arranging with Other Contractors to perform) the Buyer Works in accordance with (i) the Programme, and (ii) the Specifications for the Civil and Electrical Works defined in the Part A of the Agreement.

Related to Buyer Works

  • Seller IP means (a) all Intellectual Property Rights in or pertaining to the Seller Products or methods or processes used or incorporated in the Seller Products, and (b) all other Intellectual Property Rights owned by or exclusively licensed to the Seller.

  • Minor Works has the meaning given to it in paragraph 2.7(a) of Schedule 4 (Persons with Disabilities and Disability Discrimination);

  • Purchased Intellectual Property has the meaning set forth in Section 1.2(g).

  • The Works means the work or works to be executed or done under this contract.

  • Transferred Technology has the meaning set forth in Section 2.3(a).

  • Acquired Assets has the meaning set forth in Section 2.1.

  • Day works means varied work inputs subject to payment on a time basis for the Service Provider's employees and equipment, in addition to payments for associated materials and administration.

  • Proposed Works means the sewage works described in the Owner's application, this Certificate and in the supporting documentation referred to herein, to the extent approved by this Certificate;

  • Transferred Intellectual Property means (i) all Intellectual Property Rights owned by the Acquired Companies, (ii) the Transferred Trademarks, (iii) the Transferred Patents, (iv) the Transferred Domains, and (v) all other Intellectual Property Rights owned by Sellers or their respective Affiliates as of the Closing Date that are exclusively used in or are exclusively related to the development, manufacture, marketing, use or sale of the Business Products.

  • Purchased Assets has the meaning set forth in Section 2.1.

  • Seller Use means fuel used for gas compression, LPG plants and LNG plants, other gas needed by Seller's facilities to furnish the requirements of Buyers, together with unaccounted for gas. This gas shall be considered included in Priority of Service Category 1. Other vital uses of Seller, such as flame stabilization requirements, will be met as long as such uses do not jeopardize service to its firm service Buyers.

  • Seller Intellectual Property means any Intellectual Property that is owned by either Seller and primarily used in connection with the Business.

  • Cloud Materials means any materials provided or developed by SAP (independently or with Provider’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Consulting Services to Provider or its Customers. Cloud Materials do not include any Customer Data, Provider Confidential Information, or the SAP Cloud Service.

  • Foreground IPR means any IPRs that are generated as a result of the activities conducted within the framework of the Project concerned as specified in the corresponding Project Agreement;

  • Transferred Assets has the meaning set forth in Section 2.1.

  • Foreground IP means all intellectual property and Intellectual Property Rights generated under these Terms; and

  • Work/ works means work / works to be executed in accordance with the contract.

  • Acquired Intellectual Property has the meaning given in Section 2.1(b).

  • Purchased Equipment means any equipment, including any Software, sold by BT to the Customer.

  • Parent IP means all Intellectual Property Rights that are owned or purported to be owned by, assigned to, or exclusively licensed by, Parent or its Subsidiaries.

  • Company Business means the business of the Company as presently conducted.

  • Developed Software means software specifically designed for the Principal under the Contract. Depending how advanced its development is, it may be either a Product or a Service or both.

  • Company IP means all Intellectual Property Rights and Intellectual Property owned by or exclusively licensed to the Company.

  • Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Court or Court Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.

  • Excluded Intellectual Property means any Intellectual Property (including Software, but excluding Trademarks), owned by Seller and its Affiliates as of the date hereof that is not Acquired IP.

  • Business Software means with respect to a Licensor, all Software to the extent Controlled by such Licensor or any of its Affiliates as of the Effective Date, which Software is reasonably required as of the Effective Date for the conduct of (i) the Agriculture Business if the Licensee is AgCo, including as listed on section (i) of Schedule Q, or (ii) the Materials Science Business if the Licensee is MatCo, including as listed on section (ii) of Schedule Q, in each case (in respect of the foregoing (i) and (ii)), only if and to the extent such Licensee and its Affiliates have not been granted a license or other rights to use such Software under the Separation Agreement or any other Ancillary Agreement. Notwithstanding the foregoing, Business Software expressly excludes any and all Excluded IP.
