Perfection Certificates is defined in Section 5.1.
Perfection Certificate means a certificate in the form of Exhibit II to the Security Agreement or any other form reasonably approved by the Collateral Agent, as the same shall be supplemented from time to time.
Perfection Certificate Supplement means a certificate supplement in the form of Exhibit L-2 or any other form approved by the Collateral Agent.
Excluded Perfection Assets means, collectively:
Information Certificate means the Information Certificate of Borrower constituting Exhibit A hereto containing material information with respect to Borrower, its business and assets provided by or on behalf of Borrower to Lender in connection with the preparation of this Agreement and the other Financing Agreements and the financing arrangements provided for herein.
Satisfaction Certificate means the certificate materially in the form of the document contained in Call Off Schedule 5 (Testing) granted by the Customer when the Supplier has Achieved a Milestone or a Test;
Exemption Certificate is defined in clause (e) of Section 4.6.
Request regarding a list of collateral means a record authenticated by a debtor requesting that the recipient approve or correct a list of what the debtor believes to be the collateral securing an obligation and reasonably identifying the transaction or relationship that is the subject of the request.
Inspection Certificate means a report prepared by an independent authority or third party assessor who is qualified by experience and/or education to declare the Produce unfit for human consumption, unsuitable for sale or not meeting a particular specification or standard.
Credit Agreement Collateral Documents means the Security Agreement, the other Collateral Documents (as defined in the Credit Agreement) and each other agreement entered into in favor of the Credit Agreement Collateral Agent for the purpose of securing any Credit Agreement Obligations.
Current Asset Collateral means all the “ABL Priority Collateral” as defined in the ABL Intercreditor Agreement.
Allocation Certificate shall have the meaning set forth in Section 5.20.
Borrower Security Agreement means the Security Agreement, dated as of the date hereof, between Borrower and the Agent.
Pledged Deposits means all time deposits of money (other than Deposit Accounts and Instruments), whether or not evidenced by certificates, which a Grantor may from time to time designate as pledged to the Administrative Agent or to any Secured Party as security for any Secured Obligations, and all rights to receive interest on said deposits.
Collateral Information Certificate the Collateral Information Certificate to be executed and delivered by the Borrower pursuant to Section 5.1, substantially in the form of Exhibit J.
Occupation Certificate means any occupation certificate as referred to in s 6.4 of the Act in respect of the Development Consent;
Participation Certificate means the original participation certificate, if any, that was executed and delivered in connection with a Participation Interest.
Pledge Agreement Collateral means all "Collateral" as defined in the Pledge Agreement.
Perfection Representations means the representations, warranties and covenants set forth in Schedule 1 attached hereto.
registration certificate means the certificate of registration or other documents in lieu thereof establishing that the Goods supplied under the Contract are registered for use in the Purchaser’s country in accordance with the applicable law.
Additional Collateral Documents as defined in the Base Intercreditor Agreement.
Security Agreement Collateral means all "Collateral" as defined in the Security Agreement.
Pledge Certificate means a Pledge Certificate in the form attached to this Appendix "C" as Schedule 1 executed by a duly authorized officer of the applicable Fund and delivered by such Fund to the Custodian by facsimile transmission or in such other manner as the applicable Fund and the Custodian may agree in writing.
Securities Accounts (i) shall mean all “securities accounts” as defined in Article 8 of the UCC and (ii) shall include, without limitation, all of the accounts listed on Schedule 4.4(A) under the heading “Securities Accounts” (as such schedule may be amended or supplemented from time to time).
Collateral File With respect to each Mortgage Loan, a file containing each of the Collateral Documents.
Credit Agreement Collateral Agent has the meaning assigned to such term in the introductory paragraph of this Agreement.
