CapEx Amount definition

CapEx Amount means the aggregate amount of capital expenditures (whether funded through capital contributions, debt incurrence, cash on hand or otherwise) made or accrued by the Acquired Companies from and after January 1, 2013 through the Closing.
CapEx Amount has the meaning specified in Section 7.17.
CapEx Amount means an amount equal to One Dollar ($1.00) (as adjusted at the end of each Lease Year for increases since the Effective Date in the CPI). “Upgrade Expenditures” means expenditures in commercially reasonable amounts to Persons not affiliated with Tenant for (i) upgrades or improvements to each Facility that have the effect of maintaining or improving such Facility, including new or replacement wallpaper, tiles, window coverings, lighting fixtures, painting, upgraded landscaping, carpeting, architectural adornments, common area amenities and the like, including, without limitation, capital improvements or repairs (including repairs or replacements of the roof, structural elements of the walls, parking area or the electrical, plumbing, HVAC or other mechanical or structural systems), and (ii) other improvements to each Facility as reasonably approved by Landlord, which shall include those matters, if any, that Landlord has approved in writing as of the Effective Date based on descriptions and budgets that Tenant has provided prior thereto.

Examples of CapEx Amount in a sentence

  • On or before the date that is thirty (30) days after the expiration of each Lease Year, Tenant shall provide to Landlord documentation and other evidence demonstrating to Landlord’s reasonable satisfaction that Tenant has, during the preceding Lease Year, expended an amount equal to or exceeding the CapEx Amount, multiplied by the aggregate rentable square footage of the Facilities on the last day of the preceding Lease Year, for Upgrade Expenditures relating to the Premises.

  • The actual CapEx Pull Forward Amount that is used in respect of any such fiscal year shall reduce, on a dollar-for-dollar basis, the Specified Permitted CapEx Amount for the immediately succeeding fiscal year.

  • Notwithstanding anything to the contrary in this paragraph, the amount of Capital Expenditures permitted to be made pursuant to clause (ii) of this Section 6.10 (including as a result of the application of the preceding sentences) in any fiscal year shall not exceed 200% of the Specified Permitted CapEx Amount for such fiscal year.

  • All cash reimbursement obligations of CGPH for Operating Expenses and the Annual Baseline CapEx Amount (the “CGPH Calculated Amounts”) shall be paid in accordance with CGPH’s Expense Allocation Percentage; provided that if CGPH acquires any new properties that are intended to benefit from the Company’s services under the Services Agreement, then the portion of the CGPH Calculated Amounts attributable to such new property shall be paid 100% by CGPH.

  • Capital Expenditures by the Borrower and its Subsidiaries in a fiscal year shall not exceed the Permitted CapEx Amount for such fiscal year; provided, however, that (i) Capital Expenditures in respect of the Miami Jai-Alai Facility shall not be included in this determination; and (ii) Holdings and Freedom Holding shall not enter into or be subject to any financing or transaction that would otherwise constitute a Capital Expenditure if entered into by the Borrower or any Subsidiary thereof.


More Definitions of CapEx Amount

CapEx Amount means, for each Earnout Year, an amount equal to aggregate capital expenditures actually made or incurred by PRE in such Earnout Year with respect to the acquisition, upgrading or improvement of the Facility, or component parts thereof or equipment used therein, but excluding operating expenditures, including on ordinary course repairs or maintenance, all as accrued in accordance with GAAP.
CapEx Amount means the aggregate amount of documented Capital Expenditures paid by the Acquired Companies during the period beginning on October 1, 2024 and ending immediately prior to the Determination Time.
CapEx Amount means, in respect of a relevant period, the greater of:

CapEx Amount means, in relation to any relevant Accounting Period, the amount estimated by the Borrower in good faith to be the aggregate on a consolidated basis of the amounts to be payable by any member of the Group during the next two Accounting Periods for special surveys, intermediate surveys and regulatory requirements applicable to the Ships, (excluding any such amounts previously included in the “CapEx Amount” for purposes of calculating Free Cash for a prior Accounting Period), provided that if the actual aggregate amount paid by the Group for special surveys, intermediate surveys and regulatory requirements applicable to the Ships in the relevant Accounting Period is greater or less than the amount previously estimated by the Borrower for such Accounting Period in the certificate delivered in accordance with paragraph (e) below by more than $500,000, then the CapEx Amount for the next Accounting Period shall be decreased (by the amount of any excess) or increased (by the amount of any deficiency).
CapEx Amount means the amount, as at the Closing Date, of capital expenditures that have been incurred, by the Corporation since December 31, 2009 or are accrued for the Final Working Capital Statement, including for greater certainty all growth, maintenance capital and cell excavation expenditures.
CapEx Amount means the amount actually incurred by HEP, net of reimbursables, from and after January 1, 2013 and on or before the Effective Time on the capital expenditures set forth in Schedule 1.3(a)(i) of the Disclosure Schedule, provided that, to the extent that such capital expenditures are incurred after the date hereof, they are incurred in accordance with Section 5.12 hereof. Prior to the Closing, the parties shall agree on a schedule that sets forth the process by which the Estimated Capex Amount shall be determined.
