Maintenance Capital definition

Maintenance Capital. EXPENDITURES shall mean, for any period, the sum of all amounts that would, in accordance with GAAP, be included capital expenditures with respect to the repair and maintenance of Borrower's aircraft on a consolidated statement of cash flows for the Borrower and its Consolidated Subsidiaries during such period (including the amount of assets leased under any Capital Lease). Notwithstanding the foregoing, the term "Maintenance Capital Expenditures" shall not include capital expenditures related to induction, renovation and major maintenance for aircraft new to Borrower's fleet during the first twelve months following the acquisition of such aircraft.
Maintenance Capital means the cost of acquiring intangible assets and PPE by purchase, construction or other means. In order for an item to be qualified as Maintenance Capital, criteria include: ◦ item will be installed permanently (not removed after a specific use). ◦ item will last longer than 1 year. ◦ meets or exceeds the "Capitalization Threshold" which is USD 50,000. For clarity, just meeting Capital Threshold alone is not a sufficient criterion for capitalization. ◦ replacements and renewals of assets: Costs incurred in the replacement or renewal of an existing asset in its entirety are capitalized. Parts of an asset may require replacement. To meet the capital criteria, partial replacement must carry a clear and measurable future economic benefit in that there is expected to be a material increase in the asset’s useful economic life or functionality/performance (for example, capacity, throughput/output or reduction in running cost). ◦ spare parts, spare capacity and stand-by equipment: are usually carried as inventory and charged to P&L when consumed. However, there are the following exceptions:
Maintenance Capital means the direct, out-of-pocket costs that are capitalized by an Acquired Company in accordance with GAAP that are reasonably incurred by the Buyer or any of its Affiliates directly related to the maintenance or overhaul of the Relevant Assets.

Maintenance Capital means all capital expenditures (as defined and determined in accordance with GAAP) made by Supplier in connection with the assets acquired for purposes of manufacturing or sourcing Products for LESCO.

  • Maintenance Capital Expenditure means cash expenditures (including expenditures for the construction of new capital assets or the replacement, improvement or expansion of existing capital assets) by a Group Member made to maintain, over the long term, the operating capacity or operating income of the Partnership Group. For purposes of this definition, “long term” generally refers to a period of not less than twelve months.

  • Maintenance Capital Expenditures means cash expenditures (including expenditures for the addition or improvement to the capital assets owned by any Group Member or for the acquisition of existing, or the construction of new, capital assets) if such expenditures are made to maintain, including over the long term, the operating capacity or revenues of the Partnership Group.

  • Consolidated Maintenance Capital Expenditures means, for any period, the aggregate amount of expenditures for additions to property, plant, and equipment that are not Consolidated Expansion Capital Expenditures.
