Capital Expenditures Amount definition

Capital Expenditures Amount means the sum (without duplication) of (i) Capital Expenditures both incurred and paid between October 1, 2022 and the Effective Time (inclusive of such dates), and (ii) Capital Expenditures incurred but not paid and reflected as a current liability in Working Capital, by the Business between October 1, 2022 and the Effective Time (inclusive of such dates).
Capital Expenditures Amount means all expenditures made during the period from January 1, 1998 through the close of business on the Measurement Date for assets which, in accordance with GAAP, are required to be capitalized and shown on the Company's consolidated balance sheet (after taking the Internal Reorganization into account), as long as such asset is purchased for Cash or financed by the incurrence of Indebtedness (i.e., assets which are financed by accounts payable will not count towards the Capital Expenditures Amount unless and then only to the extent that such accounts payable are paid off with Cash prior to the close of business on the Measurement Date).
Capital Expenditures Amount means the total amount of all capital expenditures (including external and internal capitalized costs) both paid or payable (and if payable, reflected in Net Working Capital) and incurred by the Acquired Companies during the period beginning on July 1, 2021 and ending as of the Reference Time that are properly characterized as capital expenditures and made in accordance with Good Utility Practice, calculated in accordance with the Accounting Principles, applied in a manner consistent with the principles, methodologies and adjustments used in connection with the preparation of Appendix II. Notwithstanding anything to the contrary in this Agreement, amounts paid or payable or incurred by any Acquired Company to purchase any leased property, plant or equipment, including amounts used to purchase property, plant or equipment under any Master Lease, shall not be deemed a “Capital Expenditures Amount”; provided that any purchase amounts actually paid by Kentucky Power prior to the Reference Time pursuant to Section 4.19 shall be considered capital expenditures for purposes of calculating the “Capital Expenditures Amount.”

More Definitions of Capital Expenditures Amount

Capital Expenditures Amount is defined in Section 5.3(b)
Capital Expenditures Amount means the aggregate amount, if any, of all funds actually provided by the Seller with respect to capital expenditures at Seabrook Station under the Project Documents during the period beginning on the date hereof and ending on the Closing Date.
Capital Expenditures Amount means the difference (if any) between (a) the actual amount of capital expenditures (including deposits made on triwaves) and construction in progress for new build signs during the portion of the calendar year 1998 prior to the Closing Date and triwaves existing on the Closing Date and (b) the amount of 1998 budgeted capital expenditures (which includes anticipated construction in progress and deposits made on triwaves) through the Closing Date for new build signs and triwaves, as provided on Schedule 1.1(c), and as calculated on a pro rata basis for any incomplete quarter. The Capital Expenditures Amount shall be deemed to be positive if (a) exceeds (b), and shall be deemed to be negative if (b) exceeds (a).
Capital Expenditures Amount means $38,525,929 multiplied by a fraction, the numerator of which is the number of days from January 1, 2011 through the Closing Date and the denominator of which is 360 days.

In the event that Buyer and Seller cannot agree on the Plant Reimbursement Amount within 30 days from the Termination Date, such Plant Reimbursement Amount shall be determined by a qualified, third party firm of engineers which is not affiliated with Buyer, Seller or any of their respective affiliates, which shall be jointly selected by Buyer and Seller within 45 days from the Termination Date. All reasonable costs and fees of such third party firm of engineers shall be borne one-half by Buyer and one-half by Seller. Buyer agrees to pay the Plant Reimbursement Amount to Seller within five Business Days from the determination thereof by Buyer and Seller, or by such third party firm of engineers, as the case may be.
