Cash Election Share definition

Cash Election Share shall have the meaning stated in Section 2.7(b)(i).

Cash Election Share has the meaning set forth in Section 3.1(c)(i).

Cash Election Share also means a share of Extensity Common Stock with respect to which no election was properly and timely filed under Subsection 3.1(d). In no event shall Stock Election Shares or Dissenting Shares be considered "Cash Election Shares".

• Those reclassified shares, allocated on a pro rata basis among the holders of Cash Election Shares, will then be converted into the right to receive the Per Share Stock Consideration.-- Each remaining Cash Election Share will be converted into the right to receive the Per Share Cash Consideration.

• As used herein, the term "Cash Election Shares" means the shares of Conectiv Stock for which a Cash Election has been made and the term "Aggregate Cash Election Share Number" means the sum of (i) the aggregate number of shares of Conectiv Common Stock covered by Cash Elections and (ii) the product of (A) the aggregate number of shares of Class A Stock covered by Cash Elections and (B) 0.86757.

• No consent, approval or authorization of, or declaration, filing or registration with, any governmental or regulatory authority is required to be made or obtained by Parent or MergerCo in connection with the execution, of this Agreement.

• If the aggregate number of Series A Cash Election Shares is 20% or less than the number of PSP11 Shares outstanding as of the record date for the meeting of shareholders of PSP11 referred to in Section 7.2.1, then each such Series A Cash Election Share shall be converted in the Merger into the right to receive $20.50 in cash.

• After taking into account the foregoing adjustment provisions, each Cash Election Share (including those deemed to be Cash Election Shares) shall receive in the Merger the Cash Merger Consideration pursuant to Section 2.5 and each Stock Election Share (including those deemed to be Stock Election Shares) shall receive in the Merger the Stock Merger Consideration (and cash in lieu of fractional shares) pursuant to Section 2.5.

More Definitions of Cash Election Share

Cash Election Share shall have the meaning ascribed to it in Section 3.4(a)(iii).

Cash Election Share refer to each share of SilverBow Common Stock with respect to which an election to receive cash has been made and not revoked or lost; • “Chesapeake Transaction” refer to the acquisition of certain oil and gas properties from Chesapeake Energy Corporation by SilverBow for total cost of $653.4 million, which was consummated in November 2023;
