Cash Fee definition

Cash Fee is defined in Section 4.1.
Cash Fee means the cash fee offered in connection with the Consent Solicitation of $30.00 for each $1,000 principal amount of Notes in respect of which Holders delivered a valid and unrevoked consent.
Cash Fee means the quarterly cash retainer payable to a Director pursuant to the Compensation Program for services as a member of the Board, including any retainers payable under the Compensation Program solely for serving as Chairperson of the Board and/or for serving on one or more committees of the Board.

Examples of Cash Fee in a sentence

  • The Cash Fee shall be paid at the closing of the Placement (the “Closing”).

  • Notwithstanding the provisions of this subsection (d): (i) Placement Agent shall not be required to contribute any amount in excess of the amount of the Cash Fee actually received by Placement Agent pursuant to this Agreement; and (ii) no person guilty of fraudulent misrepresentation (within the meaning of Section 11(f) of the Securities Act) shall be entitled to contribution from any person who was not guilty of such fraudulent misrepresentation.

  • The Cash Fee shall be paid to the Placement Agent at the Closing of the Placement.

  • Each Sub-Agent will be assigned a portion of the Cash Fee and Equity Compensation (as each is defined below) otherwise payable to the Placement Agent(s), in the amounts, and on the terms set forth in an agreement between the Placement Agent(s) and Sub-Agent(s) and for which amounts shall be paid to the Sub-Agent(s) by the Placement Agent(s).

  • The Cash Fee is hereinafter referred to herein as the “Placement Fee”.


More Definitions of Cash Fee

Cash Fee. A cash fee equal to: (i) five percent (5%) of the gross proceeds received from a Strategic Partners as an upfront licensing fee in any Transaction.
Cash Fee means a cash fee equal to $1,000,000; provided that for the avoidance of doubt, solely with respect to the quarter in which the Maximum Equity is issued (the “Final Equity Quarter”), the Cash Fee shall be equitably reduced by the value of any Equity Fee issued by Company with respect to the Final Equity Quarter.
Cash Fee shall have the meaning ascribed to it in Section 4.6(a) hereof.
