CCR Election Period definition

CCR Election Period has the meaning set forth in Section 11.1(c) of the Base Indenture.

CCR Election Period has the meaning set forth in Section 11.1(c) of the Base Indenture. “CCR Nomination” has the meaning set forth in Section 11.1(b) of the Base Indenture. “CCR Nomination Period” has the meaning set forth in Section 11.1(b) of the Base Indenture. “CCR Re-election Event” means any of the following events: (i) an additional Series of Notes of the Controlling Class is issued, (ii) the Controlling Class changes, (iii) the Trustee receives written notice of the resignation or removal of any acting Controlling Class Representative, (iv) the Trustee receives a written request for an election for a Controlling Class Representative from a Controlling Class Member and such election has been consented to by the Control Party in its sole discretion, which election will be at the expense of such Controlling Class Members (including Trustee expenses), (v) the Trustee receives written notice that an Event of Bankruptcy has occurred with respect to the acting Controlling Class Representative, or (vi) there is no Controlling Class Representative and the Control Party requests an election be held; provided that with respect to a CCR Re-election Event that occurs as a result of clauses (iv) and (vi), no CCR Re-election Event will be deemed to have occurred if it would result in more than two (2) CCR Re-election Events occurring in a single calendar year. “CCR Voting Record Date” has the meaning set forth in Section 11.1(c) of the Base Indenture. “Charter Documents” means, with respect to any entity and at any time, the certificate of incorporation, certificate of formation, operating agreement, by-laws, memorandum of association, articles of association, or such other similar document, as applicable to such entity in effect at such time. “Class” means, with respect to any Series of Notes, any one of the classes of Notes of such Series as specified in the applicable Series Supplement, which may include Subclasses or Tranches. “Class A-1 Administrative Agent” means, with respect to any Series of Class A-1 Notes, the Person identified as the “Class A-1 Administrative Agent” in the applicable Series Supplement or Variable Funding Note Purchase Agreement. “Class A-1 Commitment Fee Adjustment Amount” means, for any Series of Class A-1 Notes for any Interest Accrual Period, the aggregate amount, if any, for such Interest Accrual Period that is identified as the “Class A-1 Commitment Fee Adjustment Amount” in the applicable Series Supplement or Variable Funding Note Purchase Agreement...

CCR Election Period shall have the meaning ascribed in Section 10.05(b).

Examples of CCR Election Period in a sentence

• The election outcome will be determined by reference to the number of votes actually submitted and received by the Trustee by the end of the CCR Election Period.

• During any CCR Election Period or any communications with respect thereto, both the Trustee and the Controlling Class Members shall be entitled to rely on the Applicable Procedures of the Clearing Agencies for all Book-Entry Notes and the information contained in the Note Register from all Definitive Notes notices and communications.

• If at any time there is no Controlling Class Representative (including prior to the initial CCR Election Period and during any CCR Election Period), the Control Party may exercise the rights of the Controlling Class Representative and shall approve or reject and, if applicable, implement such CCR Consent Request in accordance with the Back-Up Management Standard.

• During any subsequent CCR Election Period or any communications with respect thereto, both the Trustee and the Controlling Class Members shall be entitled to rely on the Applicable Procedures of the Clearing Agency for all such notices and communications.

• Pre-Tax, Roth and/or Rollover Contributions and invested in Employer Stock, the Participant or Beneficiary shall immediately be permitted to exchange out of Employer Stock into any other permissible investment otherwise available.

• Each Controlling Class Member shall, in its sole discretion, indicate its vote for Controlling Class Representative by returning a completed CCR Ballot directly to the Trustee within (i) in the case of the Initial CCR Election, ten (10) Business Days of the date of the CCR Ballot or (ii) in the case of any subsequent election, thirty (30) calendar days of the date of the CCR Ballot (a “ CCR Election Period ”).

• Pursuant to Section 11.1(d) of the Base Indenture, if the CCR Election Period results in a tie, the Manager shall select the Controlling Class Representative from among the candidates with the highest votes and shall direct the Trustee to appoint such CCR Candidate as the Controlling Class Representative.
