Charging Notice definition

Charging Notice means the operating instruction, and any subsequent updates, given by Buyer to Seller, directing delivery of Charging Energy to the Storage Facility to charge at a specific MW rate to a specified Stored Energy Level; provided that any operating instruction shall be in accordance with the Storage Operating Procedures. For the avoidance of doubt, any Buyer request to initiate a Storage Capacity Demonstration Test shall not be considered a Charging Notice.

Charging Notice means the operating instruction, and any subsequent updates, given by RG&E or the NYISO to Owner, directing the Project to charge at a specific rate to a specified Stored Energy Level, provided that any schedule, including self-schedules, submitted by RG&E or awarded by the NYISO in order to effectuate an Owner Initiated Test shall not be considered a Charging Notice.

• Each Charging Notice issued in accordance with this Agreement will be effective unless and until Buyer’s SC or CAISO modifies such Charging Notice by providing Seller with an updated Charging Notice.

• During the Delivery Term, CAISO Dispatches shall have priority over any Charging Notice or Discharging Notice issued by Buyer’s SC, and Seller shall have no liability for violation of this Section 4.8 or any Charging Notices or Discharging Notice if and to the extent such violation is caused by Seller’s compliance with any CAISO Dispatch.

• Seller shall not charge the Facility during the Delivery Term other than pursuant to a valid Charging Notice (it being understood that Seller may adjust a Charging Notice to the extent necessary to maintain compliance with the Operating Restrictions), or in connection with a Seller Initiated Test (including Facility maintenance or a Storage Capacity Test), or pursuant to a notice from the Transmission Provider or Governmental Authority.

• Upon receipt of a valid Charging Notice, Seller shall take any and all action necessary to deliver the Charging Energy to the Facility in order to deliver the Product in accordance with the terms of this Agreement, including maintenance, repair or replacement of equipment in Seller’s possession or control used to deliver the Charging Energy from the Delivery Point to the Facility.

• If, during the Delivery Term, Seller charges the Facility (i) to a Stored Energy Level greater than the Stored Energy Level provided for in a Charging Notice, or (ii) in violation of the first sentence of this Section 4.8(c), then (x) Seller shall pay Buyer the cost of such Energy associated with such charging of the Facility, and (y) Buyer shall be entitled to discharge such Energy and entitled to all of the CAISO revenues and other benefits (including Product) associated with such discharge.

Any Buyer Dispatched Test shall be considered a Charging Notice, and any Charging Notice shall not constitute a Buyer Bid Curtailment, Buyer Curtailment Order or Curtailment Order.
