Class B-1 Notes definition

Class B-1 Notes. The Class B-1 Senior Secured Floating Rate Notes issued pursuant to this Indenture and having the characteristics specified in Section 2.3.
Class B-1 Notes means any one of the Series 2005-4 Floating Rate Rental Car Asset Backed Notes, Class B-1, executed by HVF and authenticated by or on behalf of the Trustee, substantially in the form of Exhibit A-2-1, Exhibit A-2-2 or Exhibit A-2-3. Definitive Class B-1 Notes shall have such insertions and deletions as are necessary to give effect to the provisions of Section 2.13 of the Base Indenture.
Class B-1 Notes. The Class B-1 Notes due March 25, 2035 issued under this Indenture in the original aggregate principal amount set forth in Section 2.02.

Examples of Class B-1 Notes in a sentence

  • By purchasing the Class B-1 Notes, Holders agree to treat such Class B-1 Notes as notional principal contracts for U.S. federal income tax purposes (except for U.S. withholding tax purposes) and, as a result, as (i) a deemed loan and (ii) an on-market swap, each of which is tax accounted for in the manner described in the Offering Circular, unless such Holders are required to treat the Class B-1 Notes in some other manner pursuant to a Final Tax Determination.

  • With respect to each of the Original Class M Notes, the Class B-1 Notes and the MAC Notes, such reporting information shall be in a form substantially similar to, and include the information listed in, the sample forms provided in Exhibit J attached hereto.

  • The Issuer shall, from time to time, deliver to the Global Agent adequate supplies of Definitive Notes substantially in the form of Exhibit D-1 (for Original Notes), Exhibit D-2 (for MAC Notes other than Class M-2, Class M-2D and Class B-1 Notes) and Exhibit D-3 (for the Class M-2, Class M-2D and Class B-1 Notes), executed by the manual or facsimile signature of an Authorized Officer of the Issuer.


More Definitions of Class B-1 Notes

Class B-1 Notes means the Class B-1 Notes issued by Party B pursuant to the Indenture.
Class B-1 Notes. Class B-2 Notes", "Class M-1 Notes" and "Class M- 2 Notes" shall each have the meaning assigned thereto in the "WITNESSETH THAT" Clause of this Indenture.

Class B-1 Notes means the $15,300,000 Nelnet Education Loan Funding, Inc., Student Loan Asset-Backed Notes, Subordinate Class 2004-2B-1 Auction Rate Notes.
Class B-1 Notes means the $71,000,000 Floating Rate Class B-1 Student Loan-Backed Notes issued by the Trust pursuant to the Indenture, substantially in the form of Exhibit B-1 thereto.
Class B-1 Notes means the Class B-1 Third Priority Secured Floating Rate Notes due July 5, 2035, issued by the Co-Issuers on the Closing Date, that bear interest at a floating rate per annum equal to three-months LIBOR plus 1.10%.
