Collateral Release Certificate definition

Collateral Release Certificate has the meaning specified in Section 6.17.
Collateral Release Certificate has the meaning given that term in Section 8.15.(b)(i).
Collateral Release Certificate means a certificate, in such form as the Lender and the Borrowers shall agree from time to time and notified to the Lender, executed by an Obligor and delivered to the Lender Agent pursuant to Section 12.11(b).

  • At any time no Default exists, the Collateral Agent shall, upon request of the applicable Debtor and receipt of a Collateral Release Certificate, release the balance in the Assignee Deposit Account to such Debtor.

Collateral Release Certificate means a certificate from the chief financial officer of the Issuer indicating the Issuer’s intention to undertake a release of all or any part of the Pledge Collateral and/or the Project Collateral (which is not Original Project Collateral) and/or to withdraw any Additional Collateral Amounts from the Escrow Account setting out the Security Coverage Ratio (which will be at least 1.0) and, if applicable, the Asset Coverage Ratio (which will be at least the Required Asset Coverage Ratio), in each case calculated as of the relevant Collateral Release Date based on the Issuer’s most recent semi-annual financial statements (audited or unaudited) for the semi-annual period ending on such Collateral Release Date.

Related to Collateral Release Certificate

  • Release Certificate means a Release Certificate in the form attached to this Appendix "C" as Schedule 2 executed by a duly authorized officer of the Custodian and delivered by the Custodian to the applicable Fund by facsimile transmission or in such other manner as such Fund and the Custodian may agree in writing.

  • Borrowing Base Certificate means a certificate, signed and certified as accurate and complete by a Financial Officer of the Borrower Representative, in substantially the form of Exhibit C or another form which is acceptable to the Administrative Agent in its sole discretion.

  • Collateral Report means any certificate (including any Borrowing Base Certificate), report or other document delivered by any Grantor to the Administrative Agent or any Lender with respect to the Collateral pursuant to any Loan Document.

  • Collateral Release Date shall have the meaning provided in Section 10.15(d).

  • Perfection Certificate Supplement means a certificate supplement in the form of Exhibit G-2 hereto or any other form approved by the Collateral Agent.

  • Collateral Information Certificate the Collateral Information Certificate to be executed and delivered by the Borrower pursuant to Section 5.1, substantially in the form of Exhibit J.

  • Solvency Certificate means a Solvency Certificate of the chief financial officer of Holdings substantially in the form of Exhibit G-2.

  • Perfection Certificate is defined in Section 5.1.

  • Pick Up Report means the report detailing the number of sleeping rooms per day actually used out of the Program’s room block.

  • Compliance Certificate means a certificate substantially in the form of Exhibit D.

  • Buyer Certificate means a certificate to the effect that each of the conditions specified in clauses (a) through (c) (insofar as clause (c) relates to Legal Proceedings involving the Buyer) of Section 5.2 is satisfied in all respects.

  • Tax Clearance Certificate means a tax clearance certificate issued by the South African Revenue Services (SARS) confirming that the natural or juristic person is a registered tax payer.

  • Master Servicer Certification A written certification covering servicing of the Mortgage Loans by all Servicers and signed by an officer of the Master Servicer that complies with (i) the Xxxxxxxx-Xxxxx Act of 2002, as amended from time to time, and (ii) the February 21, 2003 Statement by the Staff of the Division of Corporation Finance of the Securities and Exchange Commission Regarding Compliance by Asset-Backed Issuers with Exchange Act Rules 13a-14 and 15d-14, as in effect from time to time; provided that if, after the Closing Date (a) the Xxxxxxxx-Xxxxx Act of 2002 is amended, (b) the Statement referred to in clause (ii) is modified or superceded by any subsequent statement, rule or regulation of the Securities and Exchange Commission or any statement of a division thereof, or (c) any future releases, rules and regulations are published by the Securities and Exchange Commission from time to time pursuant to the Xxxxxxxx-Xxxxx Act of 2002, which in any such case affects the form or substance of the required certification and results in the required certification being, in the reasonable judgment of the Master Servicer, materially more onerous than the form of the required certification as of the Closing Date, the Master Servicer Certification shall be as agreed to by the Master Servicer, the Depositor and the Seller following a negotiation in good faith to determine how to comply with any such new requirements.

  • Tax Compliance Certificate as defined in Section 5.9.2(b)(iii).

  • Borrowing Certificate means a Borrowing Certificate substantially in the form of Exhibit A.

  • Pledge Supplement means any supplement to this agreement in substantially the form of Exhibit A.
