Combined Materials definition

Combined Materials means any materials produced in the collaboration under the First Research Agreement or this Agreement that incorporate both the Compound on the one hand, and SKS Technology or SKS Background TP on the other hand, including without limitation all formulations incorporating both (a) such Compound and (b) SKS Technology (or SKS Background IP). It is understood that the term Combined Materials shall include any and all formulations of the Compound delivered by SKS to [redacted] hereunder.
Combined Materials means that material created which is the sum of, or the combination of the EvoGenix Materials and the InNexus Materials as developed and defined within the Activities as defined by the work plan attached as Exhibit C.

Examples of Combined Materials in a sentence

  • Neither party may commercially exploit any Combined Materials or any Intellectual Property Right relating to the Combined Materials or the Results arising from use of the Combined Materials, other than pursuant to a further written agreement between the Parties.

  • The Parties hereby agree that the Combined Materials are created solely for the purpose of performing the Activities, and that no patent application will be filed in respect of the Combined Materials or incorporating the Results arising from use of the Combined Materials unless otherwise agreed in writing between the Parties.

  • Subject to this article and article 13 herein each of the Parties shall own jointly any Intellectual Property Rights relating to the Combined Materials or the Results arising from use of the Combined Materials.

  • Promptly upon the earlier of (i) completion of the Activities or (ii) termination or expiration of this Agreement, unless the Parties agree otherwise in writing, each Party shall, at the election of the other Party, return to the other Party or destroy all the other Party’s Materials and the Combined Materials then in its possession.

  • For clarity, in no case will the changes to the Research Plan require SKS to deliver any Combined Materials In excess of amounts agreed in the initial Research Plan (as described in the SKS Confidential Presentation dated May 20, 2013).

  • Each of the Parties shall use the EvoGenix and InNexus Materials and the Combined Materials in compliance with all applicable laws and regulations of the Province of British Columbia, Canada,, or equivalent laws and regulations that apply in any other State, Province or Territory, where the Activities may be undertaken.

  • Following performance of the InNexus Activities described in 1 and Exhibit C, InNexus will transfer materials created (the Combined Materials) to EvoGenix in the manner specified in Exhibit D for the purpose of evaluation of the Combined Materials as set forth in Exhibit C.

  • MYMETICS acknowledges that the PEVION Materials and Combined Materials are experimental in nature and may have unknown characteristics and therefore agrees to use prudence and reasonable care in the use, handling, storage, transportation and disposition and containment of such PEVION Materials and Combined Materials.

  • The Licensed Product shall be delivered by Pevion to Mymetics in the containers chosen by Mymetics (e.g. vials or pre-filled syringes)The terms and conditions of the manufacture and supply of Combined Materials are set forth in a Supply Agreement, to be negotiated in good faith by MYMETICS and PEVION during the nine (9) months following the Effective Date.

  • As soon as practicable after the execution of this Agreement, Seller and Buyer shall cooperate to effectuate the transfer from Seller to Buyer of the following NRC licenses currently held by Seller and relating to the Business (collectively, the "NRC Licenses"): (i) Special Nuclear Materials License No. SNM-1120; (ii) Combined Materials License (Pump Repair Facility) No. ▇▇-▇▇▇▇▇-▇▇; and (iii) Combined Materials License (Industrial Radiography Facility) No. ▇▇-▇▇▇▇▇-▇▇.

Related to Combined Materials

  • Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Judicial Branch Entities or JBE Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

  • Cloud Materials means any materials provided or developed by SAP (independently or with Provider’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Consulting Services to Provider or its Customers. Cloud Materials do not include any Customer Data, Provider Confidential Information, or the SAP Cloud Service.

  • Printed Materials means all artwork and mechanicals set forth on the disc label of the PlayStation Disc relating to any of the Licensed Products and on or inside any Packaging for the Licensed Product, and all instructional manuals, liners, inserts, trade dress and other user information to be inserted into the Packaging.

  • SAP Materials means any software, programs, tools, systems, data, or other materials made available by SAP or any other member of the SAP Group to Partner or to an End User (either directly or indirectly via Partner) prior to or in the course of the performance under any part of this Agreement including, but not limited to, the other SAP Products.
