Committee Claims definition

Committee Claims means any and all objections, Claims, Causes of Action, or Challenges (as defined in the DIP Order) that the Committee, on its own behalf, on behalf of the Estates, or otherwise, raised, could have raised, or could raise in the future relating to approval of the Disclosure Statement, Plan confirmation, the Restructuring Support Agreement, or pursuant to a Challenge, including (x) with respect to the enterprise valuation, collateral valuation, releases, exculpations, and injunctions contemplated by the Plan and (y) on account of any potential objection, Claim, Cause of Action, or Challenge on the grounds set forth in the (i) Statement of the Official Committee of Unsecured Creditors in Support of Debtors’ Postpetition Financing, filed on April 20, 2018 [Docket No. 305]; or (ii) Objection of the Official Committee of Unsecured Creditors to Motion of Debtors for Entry of Order Approving the Proposed Disclosure Statement, Establishing Solicitation and Voting Procedures, and Granting Related Relief filed on June 11, 2018 [Docket No. 483].
Committee Claims means the proofs of Claims filed by members of the Committee in the
Committee Claims means any and all objections, Claims, Causes of Action, Challenges (as defined in the DIP Order), or other challenges to any relief sought by the Debtors in these Chapter 11 Cases that the Creditors’ Committee, derivatively on behalf of the Estates, directly or otherwise, raised, could have raised, or could raise in the future relating to approval of the Disclosure Statement, Plan Confirmation, the RSA, the CAF Settlement, the First Lien Non-CAF Settlement, the TEC Global Settlement, or pursuant to a Challenge, including (x) with respect to the enterprise valuation, collateral valuation, releases, exculpations, injunctions, and other transactions contemplated by the Plan and (y) on account of any potential objection, Claim, Cause of Action, or Challenge on the grounds set forth in the (i) Standing Motions; (ii) CAF Claim Objection; (iii) Objection of the Official Committee of Unsecured Creditors to (I) Approval of the Disclosure Statement for Joint Chapter 11 Plan of Talen Energy Supply, LLC and Its Affiliated Debtors and (II) the Proposed Bidding Procedures filed on October 17, 2022 [Docket No. 1362], and (iv) Supplement to Limited Objection of Official Committee of Unsecured Creditors to Emergency Motion of Debtors for (I) Interim Order (A) Authorizing Debtors to Fund Cumulus Data and (B) Granting Related Relief and(II) Final Order (A) Authorizing Entry Into Cumulus Term Sheet, (B) Approving Obligations Thereunder, Including Assumption of Cumulus Agreements, and (C) Granting Related Relief [Docket No. 1328].

Examples of Committee Claims in a sentence

  • Ad Hoc MCI Trade Claims Committee Claims are classified in Class 6B solely for voting purposes.

  • There shall be an Executive Committee and the following standing Committees: Finance and Audit Committee, Claims Committee, Underwriting Committee, Business Development Committee, Loss Prevention Committee, Compensation Committee and Governance Committee.

  • The Ad Hoc Committee Claims that were timely presented shall have been paid in full.

  • The Board of Directors have constituted four committees namely – Audit Committee, Executive Committee, Claims Committee and Nomination & Remuneration Committee, which enables the Board to deal with specific areas / activities that need a closer review and to have an appropriate structure to assist in the discharge of their duties and responsibilities.

  • The Debtors’ Standing Objection also explains why the recoveries to Senior Creditors under the Plan, after making adjustments for the Disputed Committee Claims, remain substantially unchanged.

Related to Committee Claims

  • Committee Members means persons formally appointed by the Board to sit on or to chair specific committees.

  • Administrative Claims means (i) Claims that have been timely filed before the Administrative Claim Bar Date, pursuant to the deadline and procedure set forth in the Confirmation Order (except as otherwise provided by a separate order of the Bankruptcy Court), for costs and expenses of administration under sections 503(b), 507(b), or 1114(e)(2) of the Bankruptcy Code, including, without limitation: the actual and necessary costs and expenses incurred after the Petition Date of preserving the Estates and operating the businesses of the Debtors (such as wages, salaries, or commissions for services and payments for goods and other services and leased premises), (ii) Twenty Day Claims, and (iii) Claims timely asserted for stub rental payments under the Debtors’ leases. Any fees or charges assessed against the Estates 1 All capitalized terms not otherwise defined herein shall be subject to the definition of such capitalized terms in Article I.A. hereof. under section 1930 of chapter 123 of title 28 of the United States Code are excluded from the definition of Administrative Expense Claim and shall be paid in accordance with Article V.M of the Plan. Notwithstanding anything to the contrary herein, the filing of an Administrative Claim shall not be required in order to receive payment for any tax liability described in sections 503(b)(1)(B) and (C) in accordance with section 503(b)(1)(D) of the Bankruptcy Code.

  • Review Committee or “Committee” means a committee established pursuant to rule Chapter 67-60, F.A.C.

  • Ad Hoc Committee means a special purpose committee of limited duration, appointed by Council to consider a specific matter and which is dissolved automatically upon submitting its final report to Council, unless otherwise directed by Council.

  • Committee Chair means the Chair of a Committee;

  • Administrative Claims Bar Date means the deadline for Filing requests for payment of Administrative Claims, which: (a) with respect to Administrative Claims other than Professional Fee Claims, shall be 30 days after the Effective Date; and (b) with respect to Professional Fee Claims, shall be 45 days after the Effective Date.

  • Committee Member means a member of the Committee.

  • Oversight Committee means the committee established to monitor the overall implementation of this Administrative Agreement as outlined in section 7 (Oversight Committee) of this Administrative Agreement.

  • Creditors’ Committee means the statutory committee of unsecured creditors appointed in the Chapter 11 Cases pursuant to section 1102 of the Bankruptcy Code.

  • Procurement Committee means a Committee constituted by the Employer to perform the functions as such under the terms and conditions of Contract.

  • Appeal Committee means the appeal committee established by the Council in terms of section 12(3)(a);

  • Benefits Committee means the Employee Benefits Committee of Textron.

  • Technical Committee means the body established in accordance with article VII;

  • Advisory Committee means the Employer's Advisory Committee as from time to time constituted.

  • Grievance Committee means the Grievance Committee of the Bar.

  • Professional Fee Claims means all Claims for accrued, contingent, and/or unpaid fees and expenses (including transaction and success fees) incurred by a Professional in the Chapter 11 Cases on or after the Petition Date and through and including the Confirmation Date that the Bankruptcy Court has not denied by Final Order. To the extent that the Bankruptcy Court or any higher court of competent jurisdiction denies or reduces by a Final Order any amount of a Professional’s fees or expenses, then those reduced or denied amounts shall no longer constitute Professional Fee Claims.

  • Ethics Committee means an independent body established in a Member State in accordance with the law of that Member State and empowered to give opinions for the purposes of this Regulation, taking into account the views of laypersons, in particular patients or patients' organisations;

  • Architectural Review Committee or “ARC” shall mean the architectural review committee established by the Organization to review plans submitted to the Organization for architectural review.

  • Apprenticeship committee means those persons designated by the sponsor to act for it in the administration of the program. A committee may be “joint,” i.e., composed of an equal number of representatives of the employer(s) and of the employees represented by a bona fide collective bargaining agent(s), and is established to conduct, operate, or administer an apprenticeship program and enter into apprenticeship agreements with apprentices. A committee may be “unilateral” or “nonjoint” and shall mean a program sponsor in which a bona fide collective bargaining agent is not a participant.

  • Banning Committee means a Committee constituted for the purpose of these guidelines by the competent authority. The members of this Committee shall not, at any stage, be connected with the tendering process under reference.

  • Credentials Committee means the committee established by the Medical Advisory Committee to review applications for appointment and reappointment to the Professional Staff and to make recommendations to the Medical Advisory Committee and if no such committee is established it shall mean the Medical Advisory Committee;

  • Supervisory Committee means an oversight committee elected at a general meeting;

  • OPSI Advisory Committee means the committee established under Tariff, Attachment M, section III.G.

  • county executive committee member means the county executive committee member responsible for matters relating to land;

  • Peer review committee means one or more persons acting in a peer review capacity who also serve as an officer, director, trustee, agent, or member of any of the following:

  • Unsecured Claims means claims which are not secured by any property of the Debtor’s Estate and which are not part of any other class defined in this Plan.
