Competed definition

Competed means (i) worked for, managed, operated, controlled or participated in the ownership, arrangement, operation or control of (or have been connected with or served on the board of directors of) any company or entity that engages in the production, marketing or sale of any product or service which is also produced, marketed or sold by the Company; or (ii) any action or omission which is injurious to the Company or which diverts customers or suppliers from the Company.
Competed and “Competing” shall have correlative meanings.
Competed and “Competition” will each have a correlative meaning. With respect to each Manager who is a party to a change in control agreement that provides that the non-competition agreement is not applicable following a termination without cause or resignation for good reason within twenty-four months following the Merger, solely for purposes of the Company’s rights and remedies in Section 5 of this Agreement, “Compete” shall be defined with reference to the non-competition agreement as if it remained in effect.

  • Compete means to provide Competitive Services, whether Employee is acting on behalf of himself/herself, or in conjunction with or in concert with any other entity, person, or business, including activities performed while working for or on behalf of a Customer.
