Compliance with ISRA definition

Compliance with ISRA means the receipt of a letter or other written determination from the NJDEP: (i) that ISRA is inapplicable to a Facility, event, transaction or circumstance; (ii) that a Facility is exempt from ISRA; (iii) approving a Negative Declaration (as such term is defined under ISRA) or a No Further Action Letter (as such term is defined under ISRA); or (iv) that a Party's obligations under ISRA or a Remediation Agreement have been satisfied.
Compliance with ISRA means receipt by the Seller of a Response Action Outcome (“RXX”) issued by a Licensed Site Remediation Professional (“LSRP”) (as such terms are defined below), or any other written determination by the NJDEP or an LSRP that the requirements of ISRA have been satisfied with respect to the Property.
Compliance with ISRA has the meaning set forth in Section 6.20.

Examples of Compliance with ISRA in a sentence

  • The provisions of this Section 5.16 shall survive the Closing until such time as Compliance with ISRA is achieved.

  • Shareholder shall achieve Full Compliance with ISRA with respect to the Property, including without limitation, obtaining and posting or executing and maintaining any remediation trust fund, environmental insurance policy, line of credit or other remediation funding source required under any Remediation Agreement ("RA") or ISRA.

  • As reasonably requested by the CSE Holders, Buyer and the Company agree to promptly execute such documents prepared by the CSE Holders in connection with the CSE Holders efforts to achieve Compliance with ISRA provided that the form and content of such documents are reasonably satisfactory to the Company.

  • To the extent necessary to achieve Compliance with ISRA after the Closing, the Company shall take all actions required under the RA or ISRA, including the preparation and filing of any Preliminary Assessment, Site Investigation, Remedial Investigation or Remedial Action Workplan or any other document or information required by the NJDEP under the RA or ISRA and the implementation of all Remedial Actions.


More Definitions of Compliance with ISRA

Compliance with ISRA means any of the following: (1) receipt by the Seller of a No Further Action Letter and Covenant Not to Xxx (as such terms are defined under ISRA) issued by the NJDEP, (2) a Response Action Outcome issued by a Licensed Site Remediation Professional or (3) any other written determination by the NJDEP or an LSRP that the requirements of ISRA have been satisfied with respect to the Carlstadt Facility.
Compliance with ISRA means receipt of a Remediation-In-Progress Waiver approval issued by the NJDEP (as such term is defined under ISRA), a Response Action Outcome issued by a Licensed Site Remediation Professional (“LSRP”) (as such terms are defined below), or any other written determination of the NJDEP or an LSRP that the requirements of ISRA have been satisfied with respect to the Project, the Real Property and the transactions contemplated by this Agreement.
Compliance with ISRA means receipt of a letter or letters from the NJDEP approving a De Minimis Quantity Exemption, a Negative Declaration or a Remediation-in-Progress Waiver (as such terms are defined under ISRA), a No Further Action Letter/Covenant Not to Sue (as such term is defined under ISRA), or other written determination of the NJDEP that the requirements of ISRA are being or have been satisfied with respect to the Owned Property.
Compliance with ISRA means the receipt by Parent or Purchaser of (i) a letter or letters from the NJDEP, in accordance with Subchapter 5 of the ISRA regulations, approving, as applicable, a de minimis quantity exemption, an area of concern review application, a regulated underground storage tank waiver application, a minimal environmental concern application, a negative declaration or a remediation-in-progress waiver (as each such term is defined under ISRA), (ii) a No Further Action Letter issued by the NJDEP, or a Response Action Outcome issued by an LSRP, or (iii) other written determination by the NJDEP or an LSRP that the requirements of ISRA are being or have been satisfied with respect to the New Jersey ISRA Property.
Compliance with ISRA means the receipt by the Seller of a Response Action Outcome (“RAO”) issued by a Licensed Site Remediation Professional (“LSRP”) (as such terms are defined under the New Jersey Site Remediation Reform Act) with respect to Seller’s ISRA obligations at the Princeton Site relating to or triggered by the transactions contemplated by this Agreement.
Compliance with ISRA means the receipt of a letter(s) from the NJDEP approving a No Further Action Letter and Covenant Not To Sue (as such term is defined under ISRA), or other written determination, such as a Remediation in Progress Waiver, by the NJDEP that the requirements of ISRA have either been satisfied or that the requirements of ISRA do not apply to the New Jersey Property.
Compliance with ISRA shall have the meaning set forth in Section 5.8(a).
