Compliance with Terms and Conditions. All the terms, covenants and conditions of this Agreement to be complied with and performed by Parent or Sub on or before the Closing Date shall have been (and tender by Parent or Sub of any documents required to be delivered at the Closing by it shall constitute a representation by Parent and Sub as at the Closing that, except as otherwise specifically approved in writing by Company, they have been) complied with and performed in all material respects.
Compliance with Terms and Conditions. Seller shall have performed and complied with all of the terms and conditions required by this Agreement to be performed and complied with by it prior to or on the Closing Date.
Compliance with Terms and Conditions. Registrar shall comply with each of the following requirements, and further shall include in its registration agreement with each Registered Name Holder, as applicable, an obligation for such Registered Name Holder to comply with each of the following requirements:
3.5.1. ICANN standards, policies, procedures, and practices for which PIR has monitoring responsibility in accordance with the Registry Agreement or other arrangement with ICANN; and
3.5.2. operational standards, policies, procedures, and practices for the Registry TLD established from time to time by PIR in a non-arbitrary manner and applicable to all registrars, including affiliates of PIR, and consistent with ICANN's standards, policies, procedures, and practices and PIR’S Registry Agreement with ICANN. Additional or revised PIR operational standards, policies, procedures, and practices for the Registry TLD shall be effective upon thirty days notice by PIR to Registrar. If there is a discrepancy between the terms required by this Agreement and the terms of the Registrar’s registration agreement, the terms of this Agreement shall supersede those of the Registrar’s registration agreement.
Compliance with Terms and Conditions. All the terms, covenants and conditions of this Agreement to be complied with or performed by the Seller on or before the Time of Closing on the Closing Date shall have been complied with or performed.
Compliance with Terms and Conditions. Registrar shall comply with, and shall include in its registration agreement with each Registered Name Holder as appropriate, all of the following:
3.10.1. ICANN standards, policies, procedures, and practices for which Registry Operator has monitoring responsibility in accordance with the Registry Agreement or other arrangement with ICANN.
3.10.2. Operational standards, policies, procedures, and practices for the Registry TLD as set forth in the Registry Agreement and as established from time to time by Registry Operator in a non-arbitrary manner and applicable to all registrars, including affiliates of Registry Operator, and consistent with ICANN's standards, policies, procedures, and practices and Registry Operator's Registry Agreement with ICANN. Among Registry Operator's operational standards, policies, procedures, and practices are those set forth in Exhibit D. Additional or revised Registry Operator operational standards, policies, procedures, and practices for the Registry TLD shall be effective upon thirty days notice by Registry Operator to Registrar.
Compliance with Terms and Conditions. Registrar shall comply with each of the following requirements, and further shall include in its registration agreement with each Registered Name Holder, as applicable, an obligation for such Registered Name Holder to comply with each of the following requirements:
3.5.1. ICANN standards, policies, procedures, and practices for which Afilias has monitoring responsibility in accordance with the Registry Agreement or other arrangement with ICANN; and
3.5.2. operational standards, policies, procedures, and practices for the Registry TLD established from time to time by Afilias in a non-arbitrary manner and applicable to all registrars, including affiliates of Afilias, and consistent with ICANN's standards, policies, procedures, and practices and Afilias’ Registry Agreement with ICANN. Additional or revised Afilias operational standards, policies, procedures, and practices for the Registry TLD shall be effective upon thirty days notice by Afilias to Registrar. If there is a discrepancy between the terms required by this Agreement and the terms of the Registrar’s registration agreement, the terms of this Agreement shall supercede those of the Registrar’s registration agreement.
Compliance with Terms and Conditions. Registrar agrees to comply with all other reasonable terms or conditions established from time to time, to assure sound operation of the System, by NSI as Registry in a non-arbitrary manner and applicable to all registrars, including NSI, and consistent with NSI's Cooperative Agreement with the United States Government or NSI's Registry Agreement with the Internet Corporation for Assigned Names and Numbers ("ICANN"), as applicable, upon NSI's notification to Registrar of the establishment of those terms and conditions.
Compliance with Terms and Conditions. Resident/Fellow agrees to comply with the terms and conditions of this Agreement, which incorporates the current TTUHSC GME House Staff Policies and Procedures, and further acknowledges being advised that the GME House Staff Policies and Procedures are accessible on the TTUHSC GME website at xxxx://xxx.xxxxxx.xxx/som/gme. Resident/Fellow is responsible for carefully reviewing this website, referring to the Policy throughout his/her training at TTUHSC, and adhering to the TTUHSC GME House Staff Policies and Procedures.
Compliance with Terms and Conditions. All of the terms, covenants and conditions of this Agreement to be complied with or performed by Connetics at or before the Time of Closing shall have been complied with or performed in all material respects.
Compliance with Terms and Conditions. Notwithstanding Section 3.3, You shall also comply with each of the following requirements in relation to the Registry TLD as posted on the Registry Website from time to time: ICANN standards, policies, procedures, requirements and practices for which we have monitoring responsibility in accordance with the Registry Agreement or other arrangement with ICANN, and including the UDRP, Trademark Clearinghouse and Trademark Claims Service, the Trademark Post- Delegation Resolution Procedure, Registry Restrictions Dispute Resolution Procedure, Public Interest Commitment Dispute Resolution Procedure and the Uniform Rapid Suspension System; and Operational standards, policies, procedures, and practices for the Registry TLD established from time to time by us in a non-arbitrary manner and applicable to all Registrars, including Resellers, and consistent with ICANN's standards, policies, procedures, requirements and practices, and the Registry Agreement.
