Confidential Employee Information. Information regarding District employees that is not public under GRAMA (UCA. §63G-2-301). The primary purpose of this Agreement is for Contractor to protect personally identifiable student data for District, but to the extent that purpose shall include Contractor access to District employee information (hereinafter “Confidential Employee Information”), Contractor shall protect the confidentiality of District employee information consistent with UCA §63G-2-302(1)(g), Utah Administrative Code R277-487 and other applicable provisions of State and federal law.
Confidential Employee Information means any item of information (in any format, written, electronic, or other) that is directly related to an identifiable District employee (current or former) and is maintained by the District or by a District employee in the performance of his or her duties.
Confidential Employee Information means records and documentation pertaining to physical or mental illness, injury or examinations, sick leave and medical treatment of persons; records and documentation maintained for purposes of the Americans with Disabilities Act [42 U.S.C. Section 12010 et seq]; letters of reference concerning employment, licensing, or permits; records and documentation containing matters of opinion; documents concerning infractions and disciplinary actions; performance appraisals; opinions as to whether a person should be employed or re-employed; college transcripts; military discharge; information on the race, color, religion, sex, national origin, political affiliation, age, and disability of employees; home address and personal telephone number, unless related to public business; social security numbers; laboratory reports or test results generated according to the provisions of 1.7.8 NMAC; and, as otherwise provided by state or federal law; and,

  • Recipient shall notify the District or IHE immediately upon discovery of any unauthorized use or disclosure of Student or Candidate Record Information or Confidential Employee Information, and will cooperate with the other party in every reasonable way to assist them in regaining possession of the Student or Candidate Record Information or Confidential Employee Information, mitigating the consequences of its disclosure, and preventing its further unauthorized use.

  • The parties agree that Student or Candidate Record Information or Confidential Employee Information is of a special character, such that money damages would not be sufficient to avoid or compensate the District or IHE, its employees, agents and students for any unauthorized use or disclosure thereof, and that injunctive and other equitable relief would be appropriate to prevent any actual or threatened unauthorized use or disclosure.

  • Entries in the access log will identify the person(s) receiving access, the reason access was granted, the date, time and circumstances of disclosure, and all Student or Candidate Record Information or Confidential Employee Information provided.

  • The Student or Candidate Record Information or Confidential Employee Information is provided AS IS and without warranty of any kind, whether expressed or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose or title.

  • The District and IHE agree to indemnify and hold harmless the recipient, its employees, agents, subcontractors, affiliates, officers and directors from, and defend the District or IHE against, any liability or expenses (including reasonable attorneys' fees and costs) arising out of or relating to: (a) any unauthorized or unlawful disclosure of Student or Candidate Record Information or Confidential Employee Information by recipient; or (b) any breach of this Agreement by recipient.

  • The District and the IHE shall not have any liability or responsibility for errors or omissions in, or any decisions made by recipient in reliance upon, any Student or Candidate Record Information or Confidential Employee Information.

  • Recipient will keep confidential all Student or Candidate Record Information or Confidential Employee Information and will take all necessary steps to ensure the confidentiality of these records.

  • Immediately upon completion of the Project, LAUSD and IHE will destroy all Student or Candidate Record Information or Confidential Employee Information that recipient obtained or learned in connection with the Project.

  • Company Confidential Information means information (including any and all combinations of individual items of information) that the Company has or will develop, acquire, create, compile, discover or own, that has value in or to the Company’s business which is not generally known and which the Company wishes to maintain as confidential. Company Confidential Information includes both information disclosed by the Company to me, and information developed or learned by me during the course of my employment with the Company. Company Confidential Information also includes all information of which the unauthorized disclosure could be detrimental to the interests of the Company, whether or not such information is identified as Company Confidential Information. Notwithstanding the foregoing, Company Confidential Information shall not include any such information which I can establish (i) was publicly known or made generally available prior to the time of disclosure by the Company to me; (ii) becomes publicly known or made generally available after disclosure by the Company to me through no wrongful action or omission by me; or (iii) is in my rightful possession, without confidentiality obligations, at the time of disclosure by the Company as shown by my then-contemporaneous written records; provided that any combination of individual items of information shall not be deemed to be within any of the foregoing exceptions merely because one or more of the individual items are within such exception, unless the combination as a whole is within such exception. I understand that nothing in this Agreement is intended to limit employees’ rights to discuss the terms, wages, and working conditions of their employment, as protected by applicable law.

  • Fund Confidential Information means Confidential Information for which the Fund is the Disclosing Party.

  • Protected Health Information (PHI) means individually identifiable health information created, received, maintained or transmitted by Business Associate on behalf of a health care component of the Covered Entity that relates to the provision of health care to an Individual; the past, present, or future physical or mental health or condition of an Individual; or the past, present, or future payment for provision of health care to an Individual. 45 CFR 160.103. PHI includes demographic information that identifies the Individual or about which there is reasonable basis to believe can be used to identify the Individual. 45 CFR 160.103. PHI is information transmitted or held in any form or medium and includes EPHI. 45 CFR 160.103. PHI does not include education records covered by the Family Educational Rights and Privacy Act, as amended, 20 USCA 1232g(a)(4)(B)(iv) or employment records held by a Covered Entity in its role as employer.

  • Purchaser Confidential Information means all confidential or proprietary documents and information concerning the Purchaser or any of its Representatives; provided, however, that Purchaser Confidential Information shall not include any information which, (i) at the time of disclosure by the Company, the Seller Representative or any of their respective Representatives, is generally available publicly and was not disclosed in breach of this Agreement or (ii) at the time of the disclosure by the Purchaser or its Representatives to the Company, the Seller Representative or any of their respective Representatives, was previously known by such receiving party without violation of Law or any confidentiality obligation by the Person receiving such Purchaser Confidential Information.   • Customer Confidential Information means any information or compilation of information, not generally known, which is provided to the Employer by its customers or potential customers, is proprietary to the customer or potential customer and relates to the customer’s or potential customer’s existing or reasonably foreseeable business. Information provided to the Employer by a customer or potential customer shall be treated as Customer Confidential Information.

  • Exempt Information means any information or class of information (including but not limited to any document, report, Agreement or other material containing information) relating to this Agreement or otherwise relating to the Provider, which potentially falls within an exemption to FOIA (as set out therein);
