Consolidated Working Capital Assets means, as at any date of determination, the total assets of a person and its subsidiaries on a consolidated basis that are included in the consolidated balance sheet reported to the SEC as “Advances,” “Match Funded Advances,” “Receivables,” “Deferred Tax Assets (net)” and “Other Assets” in conformity with GAAP, excluding cash and cash equivalents.
Consolidated Working Capital Assets means, as at any date of determination, the current assets of Holdings and the Restricted Subsidiaries on such date on a Consolidated basis in conformity with GAAP, excluding Cash and Cash Equivalents.

Consolidated Working Capital Assets at any date shall mean the amount which, in conformity with GAAP, would be set forth opposite the caption "total current assets" (or any like caption) on a consolidated balance sheet of the Borrower and its Consolidated Subsidiaries at such date.
