Covered Party Personnel definition

Covered Party Personnel means and includes any person or entity who is currently or was an employee, consultant or independent contractor of any Company within the two (2) years preceding the Closing of the Transaction to be an employee or consultant/independent contractor of a Covered Party; provided, however, that the Restricted Party (including through any Affiliate of the Restricted Party or any other Person) may make general solicitations for employment not specifically directed toward such Covered Party Personnel.
Covered Party Personnel means and includes any person or entity who is an employee, consultant or independent contractor of the Company on the date hereof or who was an employee, consultant or independent contractor of the Company within the one (1) year period prior to the date hereof, other than (i) any such person or entity who has ceased to be an employee, consultant or independent contractor of the Company for a period of six (6) or more months and (ii) any such consultant or independent contractor that has provided professional services to the Company, such as legal, financial or accounting services; provided, however, the Owner will not be deemed to have violated this Section 2(a) if any Covered Party Personnel voluntarily and independently solicits an offer of employment from such employer by responding to a general advertisement or solicitation program conducted by or on behalf of such employer, or is subsequently hired by such employer, as long as the Owner has no involvement or participation, either directly or indirectly, in the recruitment of, or the hiring process or decision with respect to, such employee or consultant (and at the written request of a Covered Party provides an affidavit to that effect).
Covered Party Personnel means any Person who (A) was an employee, consultant or independent contractor of the Company or any of its Subsidiaries as of or within the one (1) year period preceding the Closing or (B) was within one (1) year preceding the applicable Seller Separation, an employee, consultant or independent contractor the Company or any of its Subsidiaries (or any other Covered Party if such Seller received confidential information regarding or had active contact with such employee, consultant or independent contractor); provided, however, no Seller will be deemed to have violated this Section 2(a) if any Covered Party Personnel voluntarily and independently solicits an offer of employment from such Seller (or other Person whom such Seller is acting on behalf of) by responding to a general advertisement or solicitation program conducted by or on behalf of such Seller (or such other Person whom such Seller is acting on behalf of) that is not targeted at such Covered Party Personnel or Covered Party Personnel generally, so long as such Covered Party Personnel is not hired.

  • Receiving Party Personnel has the meaning set forth in Section 37(d).

  • Covered Personnel means any Person who is or was an employee, consultant or independent contractor of the Covered Parties as of the date of the relevant act prohibited by this Section 2(a) or during the one (1) year period preceding such date.

  • Medical personnel means those persons assigned, by a Party to the conflict, exclusively to the medical purposes enumerated under sub-paragraph (e) or to the administration of medical units or to the operation or administration of medical transports. Such assignments may be either permanent or temporary. The term includes:

  • Purchaser Personnel means the Purchasers’, and each Purchaser’s Affiliates’, officers, directors (or their equivalent), employees, agents, and contractors of any kind.

  • HSP’s Personnel and Volunteers means the Controlling Shareholders (if any), directors, officers, employees, agents, volunteers and other representatives of the HSP. In addition to the foregoing, HSP’s Personnel and Volunteers shall include the contractors and subcontractors and their respective shareholders, directors, officers, employees, agents, volunteers or other representatives;

  • Supportive personnel means unlicensed individuals who:

  • Unlicensed person means any person who is not a licensed dealer under this chapter.

  • Third Party Service Provider means any consultant, agent, advisor, or independent contractor who renders services to the Company, a Subsidiary, or an Affiliate that (a) are not in connection with the offer and sale of the Company’s securities in a capital raising transaction, and (b) do not directly or indirectly promote or maintain a market for the Company’s securities.

  • Participating physician means a physician licensed in Virginia to practice medicine, who practices

  • Vendor Personnel means employees, agents, independent contractors, or any other staff or personnel acting on behalf of or at the direction of Vendor or any Vendor Contractor performing or providing Services or Deliverables under this Agreement.
