Covered Time definition

Covered Time means the period beginning on the date of termination of Executive’s employment (the “Date of Termination”) and ending eighteen (18) months after the Date of Termination.

Covered Time means the period beginning on the date of termination of Participant’s provision of Services (the “Date of Termination”) and ending twelve (12) months after the Date of Termination.

Covered Time means the greater of (i) twelve (12) months following the termination or expiration of this Agreement, and (ii) the period during which the Company is obligated to pay severance under Paragraph 6(b)(iii) hereof, and (y) "directly or indirectly" means in Employee's individual capacity for his own benefit or as a shareholder, partner, member or other principal, officer, director, employee, agent or consultant of or to any individual, corporation, partnership, limited liability company, business trust, association or any other business entity whatsoever.

Examples of Covered Time in a sentence

• In consideration of the amounts that may hereafter be paid to Executive pursuant to this Agreement (including Sections 3 and 4), Executive agrees that during the Term (including any extensions thereof) and during the Covered Time (as defined in Section 5.1(e)), Executive, alone or with others, will not, directly or indirectly, engage (as owner, investor, partner, stockholder, employer, employee, consultant, advisor, director or otherwise) in any Competing Business.

• In consideration of the amounts that may hereafter be paid to Executive pursuant to this Agreement (including, without limitation, Sections 4 and 5), Executive agrees that during the Term (including any extensions thereof) and during the Covered Time (as defined in Section 6.1(e)), Executive, alone or with others, will not, directly or indirectly, engage (as owner, investor, partner, stockholder, employer, employee, consultant, advisor, director or otherwise) in any Competing Business.

• Participant hereby agrees that during his or her Employment, and during the Covered Time (as defined below), Participant, alone or with others, will not, directly or indirectly, engage (as owner, investor, partner, stockholder, employer, employee, consultant, advisor, director or otherwise) in any Competing Business.

• In consideration of the amounts that may hereafter be paid to Executive pursuant to this Agreement (including Sections 3 and 4), Executive agrees that during the Term (including any extensions thereof) and during the Covered Time, Executive, alone or with others, will not, directly or indirectly, engage (as owner, investor, partner, stockholder, employer, employee, consultant, advisor, director or otherwise) in any Competing Business.

More Definitions of Covered Time

Covered Time means, for a calendar month in which a Service Credit is owed, the number of days for which the Customer is paying the Cloud Software Fees.

Covered Time means for purposes of Section 10.1(a) the period beginning on the Date of Termination and ending six months after the Date of Termination.

Covered Time means the period during which this Article VI of these Bylaws remains in effect;

Covered Time means the period beginning on the Termination Date and ending twenty-four (24) months after the Termination Date.

Covered Time means, for a calendar month in which a Service Credit is owed, the number of days for which the Company is paying the Cloud Software fees.

Covered Time means the later to expire of (i) the 24-month period immediately following the Closing Date, or (ii) if applicable, the six month period following the date on which the Selling Stockholder's employment with Buyer and its subsidiaries and affiliates terminates for whatever reason.
