Software Fees. All known software fees are included in the above Service fees mentioned in section 3.1. Should additional unforeseen software be identified as a value-add, the parties will in good faith determine the additional fee and document as an amendment to this Task Order agreement.
Software Fees. Subscriber shall abide by the payment requirements established during the sale of the Software and referenced in the sales quote (“Software Fees”).
Software Fees. 3.4.1 MIPS SOURCE CODE SOFTWARE. WEITEK shall pay to MIPS, MIPS then current standard license fees for each license of MIPS Source Code Software which WEITEK wishes to obtain as set forth on the Source Code Use License Agreement. WEITEK may license MIPS Source Code Software on a single user, site or corporate basis.
Software Fees. (A) MANAGER ACKNOWLEDGES THAT (I) IT CURRENTLY HAS AN INDEPENDENT LICENSING ARRANGEMENT FOR SOFTWARE IN EFFECT ON THE DATE OF THIS ADDENDUM THAT CONTINUES SO LONG AS MANAGER IS AN AFFILIATE OF SPRINT PCS, (II) SUCH INDEPENDENT LICENSING ARRANGEMENT DOES NOT NECESSARILY EXTEND TO FUTURE IMPROVEMENTS UPON OR EXPANSIONS OF SUCH SOFTWARE, OR INCLUDE ANY NEW SOFTWARE DEVELOPED BY OR FOR SPRINT PCS IN CONNECTION WITH PROGRAM REQUIREMENTS AND (III) SPRINT PCS ADMINISTERS THE TESTING AND IMPLEMENTATION OF THE SOFTWARE INTO THE SERVICE AREA NETWORK.
(B) SPRINT PCS WILL USE COMMERCIALLY REASONABLE EFFORTS TO OBTAIN A LICENSE PROVIDING FOR THE RIGHT OF MANAGER TO USE THE SOFTWARE (CURRENTLY EXISTING OR DEVELOPED IN THE FUTURE) OR TO USE THE IMPROVEMENTS UPON OR EXPANSIONS OF THE EXISTING OR NEWLY DEVELOPED SOFTWARE FROM VENDORS IN CONNECTION WITH A TELECOMMUNICATIONS EQUIPMENT PURCHASE AGREEMENT THAT IS NOT COVERED BY MANAGER'S EXISTING LICENSES (COLLECTIVELY FOR PURPOSES OF THIS SECTION 1.3.4, THE "VENDOR SOFTWARE").
(C) MANAGER WILL ARRANGE INDEPENDENTLY WITH THE VENDOR TO OBTAIN A LICENSE IF SPRINT PCS CANNOT REASONABLY OBTAIN A LICENSE FOR MANAGER. ANY LICENSE OBTAINED BY MANAGER FROM A VENDOR MUST REQUIRE THE VENDOR SOFTWARE TO BE TESTED IN SPRINT PCS TEST BEDS BY SPRINT PCS AND REQUIRE SPRINT PCS TO PUSH THE SOFTWARE TO THE SERVICE AREA NETWORK, NOT THE VENDOR OR MANAGER, UNLESS OTHERWISE CONSENTED TO IN ADVANCE BY SPRINT PCS IN WRITING.
(D) SPRINT PCS WILL PAY ALL SOFTWARE FEES TO THE VENDOR IF SPRINT PCS OBTAINS A LICENSE FROM THE VENDOR THAT PROVIDES MANAGER THE RIGHT TO USE THE VENDOR SOFTWARE AND SPRINT PCS REASONABLY EXPECTS MANAGER TO PAY ITS ALLOCABLE SOFTWARE FEE.
(E) SPRINT PCS WILL NOTIFY MANAGER IN WRITING AT LEAST 60 DAYS BEFORE (I) THE DATE OF AN AUTOMATIC RENEWAL OF OR UNILATERAL ACT OF SPRINT PCS TO RENEW OR EXTEND AN AGREEMENT THAT PROVIDES SPRINT PCS THE RIGHT TO USE THE VENDOR SOFTWARE OR (II) SPRINT PCS INTENDS TO START NEGOTIATIONS WITH A VENDOR REGARDING PRICING OR OTHER MATERIAL TERMS RELATING TO MANAGER'S RIGHT TO USE THE VENDOR SOFTWARE (WHETHER FOR NEW SOFTWARE OR RENEWAL OF AN EXISTING LICENSE). MANAGER MUST NOTIFY SPRINT PCS IN WRITING WITHIN 30 DAYS AFTER RECEIVING THE NOTICE DESCRIBED IN THE PRECEDING SENTENCE IF MANAGER WANTS SPRINT PCS TO ATTEMPT TO OBTAIN A RIGHT FOR MANAGER TO USE THE VENDOR SOFTWARE. Software Fees. 6.1.2.1 of the first Software Fee for the LWW Software Package (wireless features only) as described Section 2.5 of in Annex 1 applicable to each Switch will be invoiced upon the earlier of (i) the commercial, revenue-producing service of each Switch, or (ii) ninety (90) days after Buyer's Acceptance of Sellers Installation of such Switch pursuant to Schedule A of Annex 2. Thereafter, annual Software Fees for any such Switch will be invoiced annually on the anniversary date of the first such invoice.
Software Fees. (a) Server Software licensing and use fees are defined by a separate pricing offer from Comtrend to Customer and Customer’s purchase order once accepted by Comtrend and non electronic service agreement and terms of use is signed by both parties.
(b) Number of Licenses included by default may change at Comtrend’s discretion, or by number of device licenses purchased by customer in a separately designating document, such as a purchase order once accepted by Comtrend and a non-electronic service agreement and terms of use is signed by both parties.
(c) Evaluation or Trial licensing carries no fees for the evaluation or trial period designated by Comtrend, or 60 days, depending on which ever one comes first, unless other than remote installation and configuration maybe required, at which Comtrend may define fees before they are performed or initiated.
Software Fees. The LICENSEE shall pay a non-refundable 2017 SOFTWARE fee. This fee is comprised of the following: INDIVIDUAL PROGRAM, BUSINESS PROGRAM, ALL STATES PROGRAM, and SALES TAX if applicable. The LICENSEE is entitled to a TaxSlayer Pro Classic renewal rate of $995 and TaxSlayer Pro Premium renewal rate of $1195 if the 2018 SOFTWARE is purchased by May 1, 2018.
Software Fees. 6.1.2.1 100% of the first Software Fee (as defined in Section 2.5 of Annex 1) applicable to each DMS-MTX will not be invoiced until the earlier of (i) the commercial, revenue-producing service of each DMS-MTX; or (ii) ninety (90) days after Buyer's Acceptance of Sellers Installation of such DMS-MTX pursuant to Schedule B of Annex 2; thereafter, annual Software Fees for any such DMS-MTX will be invoiced annually on the anniversary date of such first invoice.
