This Agreement supersedes all prior agreements and understandings, including the CDA, the Buy-In License Agreement, CSA Agreement, whether oral or written, made by either Party or between the Parties and constitutes the entire Agreement of the Parties with regard to the subject matter hereof.
The portions of such Proposal relating to "Scope of Work" or any "Proposed Solution" (in either case, referred to herein as the "Proposed Solution"), together with these terms and conditions, are collectively referred to as the "CSA Agreement".
The CSA Agreement and any rights or obligations thereunder may not be assigned by either party without the advance written consent of the other.
Without limiting the foregoing, the Parties expressly acknowledge that this Agreement, together with the Exhibits and Schedules hereto, is intended to amend and restate the Prior CSA Agreement in its entirety, and upon the effectiveness of this Agreement, the Prior CSA Agreement shall be deemed to have been superseded and replaced in its entirety by this Agreement.
All other Services, including but not limited to the following, shall be separately billed or surcharged on a time and materials basis: (a) emergency Services performed at Customer's request, if inspection does not reveal any deficiency covered by this CSA Agreement; (b) Services performed other than during ATS's normal working hours; and (c) Service performed on equipment not covered by this CSA Agreement.
Where there is an inconsistency between this contract of employment and the terms and conditions of the Public Service Award 1992 and Public Sector CSA Agreement 2021 as applied by paragraph (a) above, the former shall prevail to the extent of any such inconsistency.
By the latter of the first thirty (30) days of this CSA Agreement or the first scheduled inspection, ATS will have inspected all the Equipment.
The Officer is entitled to the same terms and conditions as contained in the Public Service Award 1992 and Public Sector CSA Agreement 2021 but neither the Award nor Agreement form part of this contract.

This Agreement shall be known as the Department of Justice (Youth Custodial Officers) CSA Agreement 2021 which cancels and replaces the Department of Corrective Services Youth Custodial Officers’ General Agreement 2019.
