Customer Competitor definition

Customer Competitor means an entity which, either itself or has an Affiliate which, issues life insurance or annuities or provides administrative services similar to those provided by Customer.
Customer Competitor means (1) any entity, and any Affiliate or successor thereof, which is set forth in Exhibit 21, as such Exhibit is updated from time to time in accordance with Section 29.20 and (2) any Top Twenty Broker-Dealer, which Supplier acquires, or with which Supplier effects or undergoes an IBM Change in Control.
Customer Competitor means the list of companies set out in Exhibit J [Customer Competitors], which list may be updated from time to time by Customer, with the names of companies who compete with Customer in the same industry in which Customer operates, by notice in writing to HP-OMS.

Examples of Customer Competitor in a sentence

  • Administrator will not subcontract to a Customer Competitor in any event.

  • For purposes of this Contract, "Customer Competitor" shall mean (i) any entity involved in the business of satellite or terrestrial digital broadcasting in [*****], (ii) any individual employed by, serving as an officer or director for, or owning any equity interest in, such an entity, (iii) any entity controlling, controlled by, or under common control with such an entity, or also (iv) any entity owning any equity interest in such an entity.

  • EDS shall not disclose Customer’s trade secrets or proprietary information, and shall not use any such software in connection with the delivery of services to any Customer Competitor or similar entity involved in the automobile rental business.

Customer Competitor means a Third Party biotechnology or pharmaceutical company that, itself or together with its Affiliates or collaborators, develops or commercializes drug products for its or their own accounts; provided that, in any event a Customer Competitor shall not include [**].

Customer may assign or transfer its rights or delegate its obligations under this Agreement or under any Order Document, without CSG’s prior written consent, to an Affiliate of Customer or to a person or entity that obtains control (as used in Section 1.3) of the business of Customer that is primarily receiving the benefits of this Agreement or the Order Document in question; provided that as a condition of such assignment or transfer (a) Customer notifies CSG in writing prior to such assignment or transfer, (b) the assignee or transferee agrees as a condition to such assignment or transfer to assume in writing all of Customer’s obligations under this Agreement and/or Order Document (including payment of any undisputed Fees or undisputed Reimbursable Expenses incurred but not yet due as of the effective date of such transfer or assignment) and (c) if such assignment or transfer is made to a Non-Affiliate, CSG is paid any amounts due and payable prior to the effective date of such transfer or assignment under this Agreement and/or the relevant Order Document(s) as a condition to such transfer or assignment; provided, further, that such conditions set forth in (a), (b) and (c) above shall not apply to any delegation of obligations by Customer under the Agreement or under any Order Document. Any purported assignment or transfer by Customer or CSG other than that permitted in this Section 13.6 shall be null, void ab initio and of no effect. This Agreement shall be binding upon and inure to the benefit of Customer and CSG and their successors and permitted assigns.
Customer Competitor means any entity that is listed in Schedule 15 (Customer Competitors) to this Agreement.

"Customer Competitor" shall not include WorldSpace Satellite Company or any principal affiliate thereof as it operates in [*****].
