Customer Tools definition

Customer Tools means the Licensed Software components and interfaces that, as described in the Documentation, are designed and intended to be accessed by customers of Licensee through an application that is set up and maintained as part of the Services and/or Licensee’s website.
Customer Tools means those tools provided by Customer and identified in Table 2.1 of Part A of Attachment 1. All Customer Tools remain the property of Customer and will be insured by Customer against risk of loss.
Customer Tools means any Tools Submitted to the Service by or on behalf ofCustomer (including from External Platforms and by Users).

More Definitions of Customer Tools

Customer Tools means (a) any and all ideas, concepts, know-how, development tools, methodologies, processes, procedures, technologies or algorithms that are based upon trade secrets or proprietary information of Customer and used in connection with the Customer Services and listed on Schedule F in accordance with Section 5.10, as such Schedule may be modified by agreement of the Parties from time to time during the Term, and (b) any New Tools that are owned by Customer in accordance with the provisions of Section 12.3 of this Agreement.

  • Supplier Software means software which is proprietary to the Supplier or its Affiliates which is used or supplied by the Supplier in the provision of the Services; Supplier Staff means all persons employed or engaged by the Supplier together with the Supplier's servants, agents, suppliers, consultants and Sub-Contractors (and all persons employed by any Sub-Contractor together with the Sub-Contractor’s servants, consultants, agents, suppliers and Sub-Contractors) used in the performance of its obligations under this Contract; Time and Materials means the pricing mechanism for the Services as may be agreed by the Parties and set out at paragraph Error: Reference source not found in the SOW; TUPE means the Transfer of Undertakings (Protection of Employment) Regulations 2006 (SI 2006/246) as amended or replaced or any other regulations or UK legislation implementing the Acquired Rights Directive; Velocity means the Metric which measures the total number of Story Points for Stories that have been accepted in a Sprint, indicating the rate of progress towards Acceptance of all Stories from the Product Backlog;

Such System Software includes, but is not restricted to, micro-code embedded in hardware (i.e., “firmware”), operating systems, communications, system and network management, and utility software.

  • Client Materials means the CLIENT Development Materials and the CLIENT Production Materials.

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • End User Data means any information or data of any kind that personally identifies (or that can be used, together with other information or data, to personally identify) an End User.

  • End Users means a Third Party residence or business that subscribes to Telecommunications Services provided by any of the Parties at retail. As used herein, the term “End User(s)” does not include any of the Parties to this Agreement with respect to any item or service obtained under this Agreement.
