Delivery of Possession Date definition

Delivery of Possession Date. The date specified in Appendix F of the Agreement in which the Leased Premises are delivered to the Lessee solely as an authorized person for the purpose of performing the adjustment works in the Leased Premises by the Lessee as stated in Section 13 of the Agreement.
Delivery of Possession Date means the date on which Landlord shall have delivered exclusive possession of the Premises to Tenant, which date shall be the date of closing of the transactions contemplated by and described in that certain Asset Purchase Agreement dated March 31, 2006 by and between Landlord, as seller, and Tenant, as buyer (the “Asset Purchase Agreement”). The Delivery of Possession Date shall be deemed the “Commencement Date” and the “Rent Commencement Date” of the Lease for the purposes of this Lease. At the closing thereof, Landlord and Tenant shall execute a “Commencement Date Certificate” in the form attached hereto as Exhibit C.
Delivery of Possession Date means the date on which Landlord shall have delivered exclusive possession of the Premises to Tenant, which date shall be the date that Landlord shall have completed the required clean up in accordance with Exhibit F and as required under the Asset Purchase Agreement dated March 31, 2006 by and between Landlord, as seller, and Tenant, as buyer (the “Asset Purchase Agreement”). The “Delivery of Possession Date” shall be deemed the “Rent Commencement Date” of the Lease for purposes of this Lease. The Delivery of Possession Date and the Rent Commencement Date shall each be confirmed by Landlord and Tenant in a “Commencement Date Certificate” in the form attached hereto as Exhibit C. Such certificate shall be executed and acknowledged by Tenant, and delivered to Landlord, within ten (10) days after Tenant’s receipt thereof, provided, that Tenant’s failure to execute, acknowledge and deliver such an instrument shall not prevent the Rent Commencement Date from occurring.

Examples of Delivery of Possession Date in a sentence

  • In addition, for the first twelve (12) months only following the Delivery of Possession Date, Landlord shall, upon written notice from Tenant of the necessity therefor, correct any defects in Landlord's Work within the Leased Premises.

  • The earlier of (i) the later of (A) the Grand Opening, or (B) the date following the expiration of a one hundred twenty (120) day fixturing period ("Fixturing Period") following the Delivery of Possession Date (as defined in Section 3.2), or (ii) the date the Leased Premises is open for business to the public.

  • Tenant covenants and agrees to take physical possession of the Leased Premises on the Delivery of Possession Date provided that Landlord's Work is "substantially complete." The Delivery of Possession Date shall be subsequently confirmed by Landlord, or Landlord's supervising architect, by written notice to Tenant.

  • As [Signature and Stamp: Ogen Yielding Real Estate Ltd and Polypid Ltd.] [Signed] of the Delivery of Possession Date in the ground floor, the Lessee shall incur payments for the supply of water and electricity to the part of the Leased Premises on the ground floor.

More Definitions of Delivery of Possession Date

Delivery of Possession Date means the date of this Lease, if such day is a working day, and if not, then the first working day thereafter. On the Delivery of Possession Date, Landlord shall allow the Tenant unrestricted access to the Premises for the delivery and installation of building materials and equipment in accordance with the terms of the Work Letter.

Related to Delivery of Possession Date

  • Possession Date means the date of execution of this Agreement;

  • Occupancy Date means the date on which occupancy of all Units in a Project is permitted;

  • Final Completion Date means the date on which Final Completion occurs.

  • Completion Date means the date of completion of the Services by the Service Provider as certified by the Procuring Entity

  • The Completion Date means the date of completion of the Works as certified by the Employer’s Representative.

  • Acceptance Date has the meaning set forth in Section 2.05(a)(v)(D)(2).

  • Substantial Completion Date means the date on which Substantial Completion occurs.

  • Construction Completion Date means the Completion Date of the Construction as specified in the Statutory Declaration of Completion for the Project;

  • Investment Start Date : means 19 November 2021 or if such day is not a Scheduled Trading Day, the following day which is a Scheduled Trading Day.

  • Inspection Period means the period beginning on the Effective Date and expiring at 5:00 p.m. eastern time on the forty-fifth day after the Effective Date.

  • Final Completion means the date determined and certified by A/E and Owner on which the Work is fully and satisfactorily complete in accordance with the Contract.

  • Mechanical Completion means that (a) all components and systems of the Project have been properly constructed, installed and functionally tested according to EPC Contract requirements in a safe and prudent manner that does not void any equipment or system warranties or violate any permits, approvals or Laws; (b) the Project is ready for testing and commissioning, as applicable; (c) Seller has provided written acceptance to the EPC Contractor of mechanical completion as that term is specifically defined in the EPC Contract.

  • Project Completion Date means the date on which the Completion Certificate is issued;

  • Outside Completion Date shall have the meaning assigned to such term in Section 6.3(d).

  • Order Date means, with respect to a Purchase Order, the date specified in Section 2.3(a) and, with respect to a Redemption Order, the date specified in Section 2.6(a).

  • Commercial Operations Date or "COD": The date on which Facility first achieves Commercial Operations.

  • Submission Date means the date on which You Submit a Contribution to Us.

  • Commencement Date means the date of this Agreement;

  • Lease Commencement Date means the Closing Date. The “Lease Expiration Date” shall mean the later of (i) the date of the final payment in full of the French Advances and (ii) the Vehicle Lease Expiration Date for the last Lease Vehicle leased by the Lessee hereunder. The “Term” of this Agreement shall mean the period commencing on the Lease Commencement Date and ending on the Lease Expiration Date.

  • Service Commencement Date means the date the Transmission Provider begins to provide service pursuant to the terms of an executed Service Agreement, or the date the Transmission Provider begins to provide service in accordance with Tariff, Part II, section 15.3 or Tariff, Part III, section 29.1.

  • Installation Date means the date specified in the Statement of Work by which the Contractor must have the ordered Equipment ready (certified) for use by the State.
