Designated Shares definition

Designated Shares shall now constitute references to shares of Holdings Common Stock, (iii) all references to the “Board” shall now constitute references to the Board of Directors of Holdings, (iv) all references to the “Committee” or “Compensation Committee” shall constitute references to the Compensation Committee of the Board of Directors of Holdings and (v) all references to “Subsidiary” shall also include any wholly-owned limited liability company within the applicable chain of subsidiaries that is a disregarded entity for U.S. federal income tax purposes.
Designated Shares means shares in a Samoan company for which a valid direction has been given under section 51(1) and is in effect;
Designated Shares has the meaning set forth in Section 4(b)(i).

Examples of Designated Shares in a sentence

  • Such representations and warranties shall survive each deposit of Designated Shares and each issuance of Designated Restricted ADSs hereunder.

  • If the Company thereafter determines for any reason in its sole discretion not to register or to delay registration of its securities, the Company may, at its election, give written notice of such determination to the Holder and shall be relieved of any obligation to register any Designated Shares in connection with such registration or in case of a determination to delay registration, shall be permitted to delay in registration of the Designated Shares.

More Definitions of Designated Shares

Designated Shares has the meaning set forth in the recitals hereto.
Designated Shares means the number of Shares equal to the lesser of (a) 6,857,000 and (b) the number of shares of Common Stock actually sold and delivered by the Company in the MetLife Public Offering divided by ten (rounded upward to the nearest whole number).
Designated Shares means the seven SkillSoft Shares to be held by nominees appointed by SSI on behalf of SSI, in each case from a date prior to the date on which the Court Meeting is held;
Designated Shares means, as of any particular date of determination, the outstanding shares of Common Stock as of such date, excluding (a) any restricted stock, restricted stock units, options and other equity-based awards (and any shares of Common Stock issuable in exchange therefor) issued or granted pursuant to an Equity Incentive Plan (as defined in the Shareholders’ Agreement) and (b) any shares of Common Stock underlying unexercised GUC Warrants (as defined in the Shareholders’ Agreement).

Designated Shares shall have the meaning set forth in Section 8.2.3(a).
Designated Shares with respect to a Designated Shareholder shall mean the lesser of (i) the number of shares of a Fund held of record by the Designated Shareholder on the Agreement Date (after giving effect to the issuance and redemption of shares, the orders for which were deemed received by such Fund prior to the determination, in accordance with Rule 22c-1, of its final NAV for such date) or (ii) the number of shares of such Fund held of record by the Designated Shareholder on the date of the Guarantee Event (after giving effect to the issuance and redemption of shares, the orders for which were deemed received by the Fund prior to the determination, in accordance with Rule 22c-1, of its final NAV for such date).
