Direct Site Costs definition

Direct Site Costs means the direct fixed costs (without xxxx-up or profit factor, except in accordance with Article 6.1(F)) incurred at the Site by the Supplier in providing SUMF but which do not vary with consumption, usage or production. Fixed costs include personnel costs (which include, but are not limited to, wages, associated benefits, applicable taxes and allocated pension costs) for the personnel directly involved in the provision of SUMF Items and the costs of any SUMF Items procured by the Supplier for the Purchaser from a Third Party in accordance with this Agreement. If costs, including personnel costs, are incurred at the Site partly in connection with providing SUMF and partly in connection with other activities, an allocation of such costs shall be included in Direct Site Costs. For the avoidance of doubt, Direct Site Costs shall not include charges for the depreciation or amortisation of SUMF Assets;
Direct Site Costs means the direct fixed costs (calculated on the basis of actual costs without xxxx-up or profit factor, except in accordance with Article 6.4(F)) incurred at the Site by the Supplier in providing SUMF but which do not vary with consumption, usage or production. Fixed costs include, but are not limited to, personnel costs (which include, but are not limited to, wages, associated benefits, applicable taxes and allocated pension costs) for the personnel directly involved in the provision of SUMF Items, where relevant maintenance and operational costs and the costs of any SUMF Items procured by the Supplier for the Purchaser from a Third-Party in accordance with this Agreement; If costs, including personnel costs, are incurred at the Site partly in connection with providing SUMF and partly in connection with other activities, an allocation of such costs shall be included in Direct Site Costs; For the avoidance of doubt, Direct Site Costs shall not include charges for the depreciation or amortization of SUMF Assets or any other assets or any other costs that the Supplier or any of its Affiliates is required to bear under this Agreement or any other agreement between Supplier or any of its Affiliates and Purchaser or any of its Affiliates and permitted assigns. These charges and costs shall be borne in accordance with the terms of such agreements. The terms of this definition shall not be deemed to modify any provision of any agreement other than this Agreement, including any express payment or reimbursement obligation of the Purchaser to Supplier under any agreement other than this Agreement;
Direct Site Costs means the direct costs (without xxxx-up or profit factor, except in accordance with Article 3.4.13, and after deducting any revenue or credits generated) incurred at the Site by Operator in the operation of the Facilities for Infineum (other than Capital Expenditures), including personnel costs for the personnel of Operator directly involved in the operation of the Facilities for Infineum, and including the costs of services, utilities, Materials and facilities provided or procured by Operator pursuant to Article 3.1.5. If personnel devote only part of their time to operation of the Facilities for Infineum, an equitable allocation of their time shall be made and only the corresponding pro rata share of the personnel costs for such personnel shall be included in Direct Site Costs. Similarly, if other costs are incurred at the Site partly in connection with operation of the Facilities for Infineum and partly in connection with other activities, an equitable allocation of such costs shall be made to Direct Site Costs. For avoidance of doubt, depreciation is not a Direct Site Cost;

Examples of Direct Site Costs in a sentence

  • Operator’s actual costs incurred pursuant to the preceding sentence shall be excluded from Direct Site Costs.

  • Except to the extent such costs are allocated to one of the Parties pursuant to the fourth sentence of this Article 3.8, the actual costs incurred by Operator in inspecting, calibrating, maintaining and repairing the Metering Devices for metering services, utilities, Materials and/or facilities to both Infineum and other users shall be shared between Infineum and the other users by including such costs in Direct Site Costs.


More Definitions of Direct Site Costs

Direct Site Costs means the fully burdened and overheaded fixed costs (without other xxxx-up or profit factor, incurred at the Site by Supplier in providing SUMF but which do not vary primarily based on consumption, usage or production. Direct Site Costs include personnel costs for the personnel involved in the provision of SUMF and costs of any SUMF Items procured by Supplier for Purchaser from a Third Party pursuant to this Agreement. (Personnel costs includes all costs related to workers compensation programs.) If costs, including personnel costs, are incurred at the Site partly in connection with providing SUMF and partly in connection with other activities, an allocation of such costs shall be included in Direct Site Costs for the avoidance of doubt, wherever and to the extent the Supplier enjoys a pension fund contribution holiday the Purchaser will share in the benefit of such holiday only until the date when the Supplier resumes contributions to the pension fund at which point the contributions for the relevant employees will be included in the Direct Site Costs. Further, for the avoidance of doubt, Direct Site Costs do not include charges for the depreciation or amortization of SUMF Assets, and fines resulting from the violation by Supplier of Legal Requirements. In addition, Direct Site Costs do not include any costs which the Supplier or any of its Affiliates is required to bear under any Transaction Document (other than this Agreement or the Norco Lease). Costs which the Supplier or any of its Affiliates is required to bear under this Agreement or the Norco Ground Lease shall be borne in accordance with the terms hereof and thereof. The foregoing shall not be deemed to modify any Transaction Document other than this Agreement including any express payment or reimbursement obligation of the Purchaser to the Supplier under any Transaction Document other than this Agreement;

The terms of this definition shall not be deemed to modify any provision of any Transaction Document other than this Agreement, including any express payment or reimbursement obligation of the Purchaser to Supplier under any Transaction Document other than this Agreement;

Related to Direct Site Costs

  • Direct Costs means the sum of the following:

  • Operating Costs means the incremental expenses incurred by the Recipient on account of Project implementation, management, and monitoring, including for office space rental, utilities, and supplies, bank charges, communications, vehicle operation, maintenance, and insurance, building and equipment maintenance, advertising expenses, travel and supervision, salaries of contractual and temporary staff, but excluding salaries, fees, honoraria, and bonuses of members of the Recipient’s civil service.

  • Indirect Costs has the same meaning as in 44 Ill. Admin. Code 7000.30.

  • Project Site(s) means the place(s) specified in the SCC for the supply and installation of the System.

  • Overhead costs means the actual costs incurred or the estimated costs to be

  • Environmental Costs any and all costs or expenses (including attorney’s and consultant’s fees, investigation and laboratory fees, response costs, court costs and litigation expenses, fines, penalties, damages, settlement payments, judgments and awards), of whatever kind or nature, known or unknown, contingent or otherwise, arising out of, or in any way relating to, any actual or alleged violation of, noncompliance with or liability under any Environmental Laws.   • Project site, where applicable, means the place indicated in bidding documents.

  • Common Area Operating Expenses are defined, for purposes of this Lease, as all costs incurred by Lessor relating to the ownership and operation of the Industrial Center, including, but not limited to, the following:

  • Costs of the Project means Recipient’s actual costs (including any financing costs properly allocable to the Project) that are (a) reasonable, necessary and directly related to the Project, (b) permitted by generally accepted accounting principles to be Costs of the Project, and (c) are eligible or permitted uses of the Financing Proceeds under applicable state or federal statute and rule.

  • Construction Costs means land costs, all costs paid to construct and complete the Improvements, as specified on Exhibit "B" attached hereto and made a part hereof.

  • Cleanup costs means expenses (including but not limited to legal and professional fees) incurred in testing for, monitoring, cleaning up, removing, containing, treating, neutralizing, detoxifying or assessing the effects of Pollutants.

  • Controllable Operating Expenses means all Operating Expenses except real property taxes, all forms of insurance, utility expenses, costs of services provided under a union contract, payments under CC&R’s or to an owners’ association and costs associated with repairs due to casualty, vandalism or other source outside of Landlord’s reasonable control.

  • Response Costs means all costs, including, but not limited to, direct and indirect costs, that the United States incurs in monitoring and supervising Respondents’ performance of the Work to determine whether such performance is consistent with the requirements of this Order, including costs incurred in reviewing deliverables submitted pursuant to this Order, as well as costs incurred in overseeing implementation of this Order, including, but not limited to, payroll costs, contractor costs, travel costs, and laboratory costs.]

  • Base Operating Costs means Operating Costs for the calendar year specified as the Base Year in the Basic Lease Information (excluding therefrom, however, any Operating Costs of a nature that would not ordinarily be incurred on an annual, recurring basis).

  • Transportation Costs means a component of the Charges, comprising those charges payable to the TNO and/or DNO for the use of their networks as applicable from time to time under the Industry Agreements including those charges more specifically referred to as “DUoS” and “TNUoS” and specified as “Included in the Unit Rate”, “Fixed” or “Pass-Through” in the Quotation Document or as otherwise notified to you as payable during the Supply Contract from time to time;

  • Transportation project means any project that the department is authorized by law to undertake including but not limited to a highway, tollway, bridge, mass transit, intelligent transportation system, traffic management, traveler information services, or any other project for transportation purposes.

  • Project means the goods or Services described in the Signature Document or a Work Order of this Contract.

  • Training costs means reasonable costs incurred to upgrade the technological skills of Full-Time Employees in Illinois and includes: curriculum development; training materials (including scrap product cost); trainee domestic travel expenses; instructor costs (including wages, fringe benefits, tuition and domestic travel expenses); rent, purchase or lease of training equipment; and other usual and customary training cots. “Training costs” do not include, except where the Company receives prior written approval of the Department, costs associated with travel outside the United States, wages and fringe benefits of employees during periods of training, administrative costs related to Full-Time Employees of the Taxpayer, or amounts paid to an affiliate of the Company.

  • Reimbursable Costs means expenses incurred by the employee in the course of engaging in the planned learning activity and include registration, tuition and examination fees as well as textbooks/discs and applicable taxes. They may also include reasonable, incremental meal, accommodation and travel expenses.

  • Additional Transportation Cost means the actual cost incurred for one-way Economy Transportation by Common Carrier reduced by the value of an unused travel ticket.

  • Project Common Areas as used in this Lease, shall mean the portion of the Project designated as such in the Site Plan. The Project Common Areas shall consist of all parking facilities, entrances and exits, driveways, exterior walkways, first-class landscaped and hardscaped areas which are generally consistent with the quality of landscaped and hardscaped areas of Comparable Buildings in existence as of the date of this Lease, open space areas and plazas on the real property comprising the Project. The term "BUILDING COMMON AREAS," as used in this Lease, shall mean the portions of the Common Areas located within any building in the Project not entirely leased by Tenant, which Building Common Areas shall be reasonably designated as such by Landlord. Notwithstanding the foregoing and subject to (i) Landlord's approval, which approval (as indicated in Section 29.4 below) shall not be unreasonably withheld or delayed, (ii) the CC&R's, and (iii) all terms of this Lease regarding Hazardous Materials, Tenant may install or locate such items as benches, patio tables, bike racks, above-ground generators, security cameras and the like (collectively, "MISCELLANEOUS COMMON AREA ITEMS") at Tenant's sole cost in the Common Areas or on the exterior of the Building, as applicable, provided that Tenant removes such items upon the expiration or earlier termination of this Lease and repairs any damage to the Common Areas or the exterior of the Building (as applicable) resulting from such removal. If Tenant fails to remove any Miscellaneous Common Area Item or to repair any damage resulting from such removal upon the expiration or earlier termination of this Lease, Landlord may do so and may charge Landlord's actual cost thereof to Tenant. The manner in which the Common Areas are maintained and operated shall be in accordance with a standard which is not less than that customarily followed in the operation and maintenance of first class mid-rise office buildings located within the University Towne Center (i.e., the area from two (2) blocks to the North of La Jolla Village Drive to two (2) blocks to the South of La Jolla Village Drive between the I-5 and I-805 freeways), Del Mar, Carmel Valley and Torrey Hills geographical areas, provided that Landlord shall manage, maintain and operate the same in a manner consistent with that of Comparable Buildings, and the use thereof shall be subject to such rules and regulations as Landlord reasonably may make from time to time. As used herein, "COMPARABLE BUILDINGS" shall mean the first class mid-rise office buildings (now existing or subsequently constructed) within the projects located within the University Towne Center, Del Mar, Carmel Valley and Torrey Hills geographical areas and having substantially similar characteristics to the Building pertaining to size, age, accessibility, design, quality, amenities and tenancies. Landlord reserves the right to make alterations or additions to, or to change the location of, elements of the Project and the Common Areas, provided that if any such changes might affect Tenant's use of the Premises (in other than an immaterial manner), Landlord obtains Tenant's prior written approval of any such alterations, additions and changes and such alterations, additions and changes do not unreasonably interfere with Tenant's access to the Premises. Except when and where Tenant's right of access is specifically excluded in this Lease, Tenant shall have the right of access to the Building and the parking facilities twenty-four (24) hours per day, seven (7) days per week during the Lease Term.   • Maintenance Costs means parts and materials, sublet and labour costs of a qualified licensed mechanic for the maintenance of the Revenue Service Vehicles, but shall not include costs associated with interior and exterior transit advertising signs and non-mechanical servicing of Revenue Service Vehicles such as fuelling, clearing fareboxes, cleaning and painting wheel rims, vehicle washing and other work performed by a serviceman; and,

  • Parking Facilities means parking lots or other off-street areas for the parking of vehicles, including areas below or above the surface of streets.
