Director Stock definition

Director Stock means shares of Stock awarded to an Eligible Director for service on the Board. As of the Stock Unit Transition Date, no additional Director Stock will be awarded under the Plan, but Director Stock remains one of the types of award that the stockholders of the Company have authorized for the Plan, and nothing herein shall impair the authority of the Board under Section 15 to amend the Plan in the future to provide for awards of Director Stock without obtaining additional stockholder approval.

Director Stock means shares of Stock awarded to an Eligible Director for service on the Board as provided in Section 6(a).

Director Stock means an Award made pursuant to Section 9.2 of the Plan.

More Definitions of Director Stock

Director Stock means, for purposes of the Plan, equity grants with respect to the Company’s Common Stock made by the Company during the Deferral Period which is earned by a Participant. Such Director Stock includes all forms of Board equity awards with respect to the Company’s Common Stock other than stock options or stock appreciation rights.

Director Stock will continue to be Director Stock in the hands of any holder other than Director (except for the Company and MCP and except for transferees in a Public Sale), and except as otherwise provided herein, each such other holder of Director Stock will succeed to all rights and obligations attributable to Director as a holder of Director Stock hereunder. Director Stock will also include shares of the Company’s capital stock issued with respect to Director Stock by way of a stock split, stock dividend or other recapitalization.

Director Stock means stock issued to an Eligible Director under Section 9.

Director Stock means all of such shares of Class B Common acquired by the Director hereunder and all shares of Common Stock hereafter acquired by the Director. Director Stock will continue to be Director Stock in the hands of any holder other than the Director, including all transferees of the Director (except for the Company and CVC (or its designee)), and except as otherwise provided herein, each such other holder of Director Stock will succeed to all rights and obligations attributable to the Director as a holder of Director Stock hereunder. Director Stock will also include shares of the Company's capital stock issued with respect to Director Stock by way of a stock split, stock dividend or other recapitalization. Director Stock will cease to be Director Stock when transferred pursuant to a Public Sale.

Director Stock means Stock issued to a Director under Section 5.6.

Director Stock means an Award of Stock to an Outside Director described in Section 7.2 herein.

Director Stock means an Award of Stock to an Independent Director described in Section 6.7 of the Plan.
