Dividend Equivalent Account definition

Dividend Equivalent Account means a bookkeeping account in accordance with under Section 11.17 and related to an Award that is credited with the amount of any cash dividends or stock distributions that would be payable with respect to the shares of Common Stock subject to such Awards had such shares been outstanding shares of Common Stock.
Dividend Equivalent Account shall have the meaning provided herein at Section 6.3.
Dividend Equivalent Account means a separate account established on the books of the Company for each Participant with respect to each grant of Phantom Units hereunder. A Participant’s Dividend Equivalent Accounts shall be unfunded bookkeeping accounts and shall not constitute or be treated as a trust fund of any kind. Amounts credited to a Participant’s Dividend Equivalent Accounts shall not be adjusted for earnings or losses (except as otherwise determined by the Committee in its sole discretion).”

Examples of Dividend Equivalent Account in a sentence

  • No interest shall accrue on any dividend equivalents credited to the Participant’s Dividend Equivalent Account.

  • The Company will establish a separate Dividend Equivalent bookkeeping account (a “ Dividend Equivalent Account”) for each Dividend Equivalent and credit the Dividend Equivalent Account (without interest) on the applicable dividend payment date with the amount of any such cash paid.

Related to Dividend Equivalent Account

  • Dividend Equivalent Unit means the right to receive a payment, in cash or Shares, equal to the cash dividends or other cash distributions paid with respect to a Share.

  • Dividend Equivalents means a right granted to a Participant under the Plan to receive the equivalent value (in cash or Shares) of dividends paid on Shares.

  • Dividend Equivalent Rights means certain rights to receive cash payments as described in Section 3.5.
