Draw Fee definition

Draw Fee means 2.75% multiplied by the amount funded by the Backstopper pursuant to Section 2.3 of this Agreement, payable in shares of Common Stock valued at the volume weighted average trading price of the Common Stock during the thirty trading day period ending on (and including) the last trading day immediately prior to the announcement of this Agreement (and the transactions contemplated hereby) through Company press release or filing of a Form 8-K with the U.S. Securities and Exchange Commission.
Draw Fee. Defined in the Fee Letter, which definition is incorporated herein by reference.
Draw Fee shall have the meaning specified in the Fee Letter.

Examples of Draw Fee in a sentence

  • Purchaser shall have received payment from Seller of all costs and expenses of Purchaser in connection with the Transaction (including reasonable out-of-pocket fees and costs of outside counsel) and any applicable Draw Fee, Annual Asset Fee and/or Exit Fee; provided, that Seller agrees to pay all such costs and expenses with respect to any proposed Asset that Purchaser determines will not be a Purchased Asset within five (5) Business Days of Purchaser’s written notice of such determination.

More Definitions of Draw Fee

Draw Fee. With respect to any Funding, an amount equal to the product of (i) 0.0010 and (ii) the Funding Amount for such Funding that is attributable to any Rated Certificates of this Series.
