Early Cash Redemption Amount definition

Early Cash Redemption Amount means, in respect of each Note (or, where applicable, each Early Redeeming Note) other than a Credit Linked Note or a Collateral Basket Note, outstanding on the relevant Early Redemption Date, the amount specified as such in the applicable Issue Terms (or the amount determined in accordance with the formula or method for determining such amount specified therein) or, if no such amount is specified in the applicable Issue Terms:
Early Cash Redemption Amount means, in respect of each Note, an amount in JPY equal to such Note’s pro rata share of (i) the Note Currency Equivalent of the Sale Proceeds (without double counting any amounts deducted by the Realisation Agent as part of the realisation process conducted in accordance with Condition 4) minus Unwind Costs. For the avoidance of doubt, the determination of the Early Cash Redemption Amount shall not take into account any amount of interest in arrears which has accrued but is not paid as of the Early Redemption Date.
Early Cash Redemption Amount means, in respect of each Note, an amount in the Note Currency equal to such Note’s pro rata share of the Note Currency Equivalent of (i) the Sale Proceeds of the Charged Assets (without double counting any amounts deducted by the Realisation Agent as part of the realisation process conducted in accordance with Condition 4), minus (ii) Swap Termination Costs, minus (iii) any costs, expenses and/or charges incurred (or expected to be incurred) by Barclays Bank PLC or any of its affiliates (in each case acting in any capacity in respect of the Notes and save as provided in respect of the Early Termination Amount under the Charged Agreement) the Trustee and/or Issuer (without duplication) in connection with (whether directly or indirectly) the Early Redemption Event (including without limitation those that arise from any required delivery of any Charged Assets) and any other claims ranking in priority to the Noteholders pursuant to the priority of payments set out in Condition 4(d), including, without limitation, brokers’ commissions, documentation fees and fees and expenses, any taxes of any nature, duties, or stamp duties and any legal or other ancillary costs and expenses (the Note Currency Equivalent of the aggregate of the amounts determined pursuant to items(ii) and (iii) being the “Unwind Costs”, as determined by the Determination Agent), provided however that, the Early Cash Redemption Amount shall not exceed the Maximum Redemption Amount. For the avoidance of doubt, the determination of the EarlyCash Redemption Amount shall not take into account any amount of Interest in arrears which have accrued but not paid as of the Early Redemption Date.

Examples of Early Cash Redemption Amount in a sentence

  • The value of the Original Collateral is an integral component of the Early Cash Redemption Amount that will be payable on the Notes were they to be redeemed early and will directly impact the return of the Noteholders upon early redemption.

  • If a Credit Event occurs with respect to any Reference Entity, the Applicable Proportion of the Credit Linked Notes will fall due for redemption at an amount equal in aggregate to the Early Cash Redemption Amount and no further payments of interest and/or principal in respect of the Applicable Proportion of such Notes will be due and payable.

  • Such Asset Package may be worth significantly less than the original Package Observable Bond prior to such Asset Package Credit Event and may result in a significantly lower Early Cash Redemption Amount being paid out to Noteholders than would have been the case following the relevant Credit Event had the Auction Final Price ben determined only by reference to Deliverable Obligations.

  • If the applicable Issue Terms specify that Classes are applicable in respect of a Series of Notes, unless such Issue Terms also specify that "Independent Class Early Redemption" is applicable, any Early Redemption Commencement Date which applies in respect of one Class of Notes shall be deemed to apply to all Classes of Notes, and all of the Notes will be redeemed at their respective Early Cash Redemption Amount.

  • Such Asset Package may be worth significantly less than the original Prior Deliverable Obligation or Package Observable Bond prior to such Asset Package Credit Event and may result in a significantly lower Early Cash Redemption Amount being paid out to Noteholders than would have been the case following the relevant Credit Event had the Value of the Valuation Obligations been determined only by reference to Deliverable Obligations.

Early Cash Redemption Amount means, in respect of each Instrument outstanding on the relevant Early Redemption Date, an amount determined by the Calculation Agent to be an amount per Instrument equal to that Instrument’s pro rata share of:
Early Cash Redemption Amount means (i) where the Termination Costs are a negative amount, the Sale Proceeds plus the absolute value of the Termination Costs, divided by the number of Notes outstanding, and (ii) where the Termination Costs are a positive amount, the Sale Proceeds less the Termination Costs, divided by the number of Notes outstanding.

Early Cash Redemption Amount means the greater of (i) the proceeds of redemption or sale of any Affected Assets realised in accordance with the Programme Deed or the cash value (to the extent such Assets are cash) less all Expenses incurred by the Issuer in connection with such redemption or sale and the early redemption of the Notes plus (if it is payable to the Issuer) or minus (if it is payable by the Issuer) the absolute value of any Aggregate STP and (ii) zero, divided by the number of the Notes falling due for redemption.
