  • That money will be paid to the ADS Depositary at the time the tendered and purchased ADSs are surrendered by or at the discretion of Royalty Pharma for the purposes of the withdrawal of the Elan Shares represented thereby.

  • Where an acceptance relates to Elan Shares in uncertificated form, the cash consideration to which the accepting holder is entitled will be paid in US dollars and will be effected by means of a CREST payment in favour of the accepting holder’s payment bank, in accordance with CREST assured payment arrangements.

  • If the Scheme becomes effective, all Elan Shares will be cancelled pursuant to sections 72 and 74 of the Act in accordance with the terms of the Scheme.

Related to Elan Shares

  • Plan Shares means shares of Common Stock held in the Trust which are awarded or issuable to a Participant pursuant to the Plan.

  • Common Shares means the common shares in the capital of the Company;

  • Shares means the shares of Common Stock issued or issuable to each Purchaser pursuant to this Agreement.

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).

  • Relevant Shares means ordinary share capital of the Approved Entity that constitutes equity share capital or the equivalent (or depositary or other receipts representing the same) which is listed and admitted to trading on a Regulated Market.

  • Unit Shares means the Common Shares comprising part of the Units;

  • Dividend Shares means the shares of Common Stock issuable in payment of dividends payable on the Preferred Shares in accordance with the terms of the Certificate of Designation.

  • Option Stock shall have the meaning set forth in Section 2(a) hereof.

  • Subscription Shares has the meaning ascribed to it in Section 2.1.

  • Settlement Shares With respect to any Settlement Date, a number of Shares, not to exceed the Base Amount, designated as such by Party B in the related Settlement Notice or by Party A pursuant to “Termination Settlement” below; provided that on the Maturity Date the number of Settlement Shares shall be equal to the Base Amount on such date.

  • Target Shares means the common shares in the capital of Target;

  • Sold Shares shall have the meaning specified in Section 6.

  • Buyer Stock means the common stock, par value $0.001 per share, of Buyer.

  • Acquired Shares has the meaning set forth in the Recitals.

  • Award Shares means Shares covered by an outstanding Award or purchased under an Award.

  • Net Shares means the number of shares of Common Stock which will be deposited in a brokerage account in the Grantee’s name at the Company’s designated broker after shares have been withheld to satisfy applicable tax and withholding requirements upon vesting of the Restricted Stock Units.

  • Restricted Shares shall have the respective meanings set forth in Section 2.14.

  • Equity Shares shall have the meaning attributed to such term in the recitals of this Agreement.
