Elan Shares definition

Elan Shares means (i) the ordinary shares of the Elan Parent, nominal value Euro 0.05 each, (ii) the American Depositary Shares of the Elan Parent and (iii) the "B" Executive Shares of the Elan Parent, nominal value Euro 0.05 each.

Examples of Elan Shares in a sentence

  • As of the date hereof, neither the Bidder nor any person Acting in Concert with it has any interest in any Elan Shares.

  • That money will be paid to the ADS Depositary at the time the tendered and purchased ADSs are surrendered by or at the discretion of Royalty Pharma for the purposes of the withdrawal of the Elan Shares represented thereby.

  • It is intended that, subject to and following the Scheme becoming effective, and subject to applicable requirements of the NYSE and the ISE, respectively, New Perrigo will apply for cancellation of the quotation of Perrigo Shares on the NYSE and Elan will apply for cancellation of the quotation of Elan Shares on the ISE and Elan ADS on the NYSE.

  • Elan will then issue new Elan Shares to New Perrigo in place of the Elan Shares that were cancelled pursuant to the Scheme and New Perrigo will issue the Scheme Consideration for the Acquisition to the former Elan Shareholders.

  • Where an acceptance relates to Elan Shares in uncertificated form, the cash consideration to which the accepting holder is entitled will be paid in US dollars and will be effected by means of a CREST payment in favour of the accepting holder’s payment bank, in accordance with CREST assured payment arrangements.

  • If the Scheme becomes effective, all Elan Shares will be cancelled pursuant to sections 72 and 74 of the Act in accordance with the terms of the Scheme.

Related to Elan Shares

  • Plan Shares means the total number of Common Shares which may be reserved for issuance as Optioned Shares under the Plan as provided in §2.2;

  • Common Shares means the common shares in the capital of the Corporation;

  • Shares means the shares of Common Stock issued or issuable to each Purchaser pursuant to this Agreement.

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).

  • Relevant Shares means ordinary share capital of the Approved Entity that constitutes equity share capital or the equivalent (or depositary or other receipts representing the same) which is listed and admitted to trading on a Regulated Market.

  • Unit Shares has the meaning ascribed thereto in the first paragraph of this Agreement;

  • Consideration Shares has the meaning ascribed thereto in Section 2.2.

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Purchased Shares has the meaning set forth in Section 2.01.

  • Newco Shares means the common shares in the capital of Newco;

  • VMTP Shares has the meaning set forth in the preamble to this Agreement.

  • Merger Shares has the meaning set forth in Section 2.2(c).

  • Company Shares means the common shares in the capital of the Company;

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Dividend Shares means any shares of Common Stock issuable in lieu of cash dividends paid or to be paid on the Series A Preferred.

  • Option Stock shall have the meaning set forth in Section 2(a) hereof.

  • Subscription Shares has the meaning ascribed to it in Section 2.1.

  • Settlement Shares With respect to any Settlement Date, a number of Shares, not to exceed the Base Amount, designated as such by Party B in the related Settlement Notice or by Party A pursuant to “Termination Settlement” below; provided that on the Maturity Date the number of Settlement Shares shall be equal to the Base Amount on such date.

  • Target Shares means all the issued and unconditionally allotted share capital in the Target and any further shares in the capital of the Target which may be issued or unconditionally allotted pursuant to the exercise of any outstanding subscription or conversion rights or otherwise together with all related rights.

  • Sold Shares shall have the meaning specified in Section 6.

  • Buyer Stock means the common stock, par value $0.001 per share, of Buyer.

  • Acquired Shares has the meaning set forth in the Recitals.

  • Award Shares means Shares covered by an outstanding Award or purchased under an Award.

  • Net Shares has the meaning provided in Section 2.12 hereof.

  • Restricted Shares shall have the respective meanings set forth in Section 2.14.

  • Equity Shares shall have the meaning attributed to such term in the recitals of this Agreement;
