Eligible Parts and Supplies has the meaning ascribed to it in Schedule 1 to Exhibit 4.9(e)(i), Exhibit 4.9(e)(ii) or Exhibit 4.9(e)(iii), as applicable.

Eligible Parts and Supplies means Eligible Inventory of the Company consisting of packaging, spare parts or supplies located in the United States and classified as such on the Company's (or any of its Borrowing Base Contributor's) accounting system; provided, however, that "Eligible Parts and Supplies" shall not include any perishable good or "food products" under and as defined in the UCC.

Examples of Eligible Parts and Supplies in a sentence

  • Notwithstanding the foregoing, the Accounts, Short-Term Rentals, Parts and Supplies, Equipment and Real Estate of the Target shall not be included in Eligible Accounts, Eligible Short-Term Rentals, Eligible Parts and Supplies, Eligible Equipment and Eligible Real Estate without the prior written consent of Agent and Requisite Lenders.

  • Agent shall have the right, following five (5) days' prior written notice by Agent to Borrower Representative, to establish, modify, or eliminate Reserves against Eligible Parts and Supplies from time to time in its reasonable credit judgment.

  • The Contractor shall be responsible for purchasing and meeting, at its own cost, all the insurance requirements of his people who are to be deployed at site under the scope of this contract.

  • Notwithstanding anything to the contrary contained in this Agreement, until there has been a determination of Net Orderly Liquidation Value of Parts and Supplies, none of the Parts and Supplies shall be Eligible Parts and Supplies.

  • Spare Parts has the meaning assigned to such term in the Pledge and Security Agreement.

  • Spares means a part or a sub-assembly or assembly for substitution which is ready to replace an identical or similar part or sub-assembly or assembly including a component or an accessory;

  • Eligible Finished Goods Inventory means all Finished Goods Inventory that is Eligible Inventory.

  • Manufacturing Facilities means facilities engaged in the mechanical or chemical transformation of materials or substances into new products and shall include:

  • Raw Materials means all raw materials, supplies, components and packaging necessary to manufacture and ship the Product in accordance with the Specifications, as provided in Exhibit A, but not including the API.

  • Long-term care facility means a nursing home, retirement care, mental care, or other facility or institution that provides extended health care to resident patients.

  • Airport Ground Support Equipment means vehicles and equipment used at an airport to service aircraft between flights.

  • Standard equipment means the basic configuration of a vehicle which is equipped with all the features that are required under the regulatory acts of the Contracting Party including all features that are fitted without giving rise to any further specifications on configuration or equipment level.
