Claims for breach of the Agreement by Company are not waived or released by Employee Releasors.
The parties further agree that this Agreement may be pleaded as a full and complete defense to any subsequent action or other proceeding arising out of, or relating to, or having anything to do with any and all of the claims, counterclaims, contingents, issues, defenses, or other matters capable of being alleged by Employee, Releasors, or any employee or former employee of Adept.
Nevertheless, the Employee Releasors hereby waive any right or Claim that might arise as a result of such different or additional Claims or facts.
In further consideration of the payments and benefits provided to Employee by this Agreement, the Employee, on behalf of himself and the Employee Releasors, hereby unconditionally releases and forever discharges the Employer Group from any and all Claims that the Employee Releasors may have as of the date the Employee signs this Agreement arising under the Age Discrimination in Employment Act (ADEA), as amended.
The term "Employee Releasors" shall include the Employee, and his family, heirs, executors, representatives, agents, insurers, administrators, successors, assigns, and any other person claiming through the Employee.
Employee Releasors hereby agree that they (or any them) will not commence, prosecute, file, or permit to be commenced, prosecuted or filed in their name or on their behalf, any lawsuit, claim or action against any of the Company Released Parties based upon or arising out of any act or event which occurred before the Separation Date (whether known or unknown, anticipated or unanticipated, suspected or unsuspected).
In further consideration of the benefits provided to the Employee in this Agreement, the Employee Releasors hereby irrevocably and unconditionally fully and forever waive, release, and discharge the Released Parties from any and all Claims, whether known or unknown, from the beginning of time through the date of the Employee’s execution of this Agreement arising under the Age Discrimination in Employment Act (ADEA), as amended, and its implementing regulations.
All claims released by the Employee Releasors pursuant to this Agreement shall collectively be referred to herein as the “Released Employee Claims.” Notwithstanding the foregoing, in no event shall the Released Employee Claims include any claims involving workers’ compensation, unemployment compensation, accrued benefits under an employee benefit plan maintained by the Company or other statutory claims to the extent such statutory claims cannot be waived or released, or any claims for indemnification.
