Equity Commitments definition

Equity Commitments has the meaning set forth in Section 6.6(a).

Examples of Equity Commitments in a sentence

  • A Defaulting Party’s “Pro Rata Portion” for purposes of this Section 1.6(a) is a fraction, the numerator of which is the Investor Equity Commitment of such Defaulting Party and the denominator of which is the aggregate Investor Equity Commitments of all Defaulting Parties.

More Definitions of Equity Commitments

Equity Commitments means the commitments, on the terms set forth in the Equity Financing Commitment Letter, the Term Sheet, the Subscription Agreement or any other agreement, as applicable, of the Equity Financing Commitment Parties to acquire New Stock pursuant to, and through, the Equity Financing. The Equity Commitments shall total the Committed Equity Amount.

Equity Commitments means equity commitments in a minimum amount of SEK 30,000,000 to be issued by the Sponsors jointly and severally (Sw. solidariskt) in favour of the Issuer, callable by the Issuer immediately following an Equity Commitments Trigger Event to the extent such equity commitments have not already been voluntarily injected in the Issuer (through the Parent) by the Sponsors.
