Excluded Problems definition

Excluded Problems means any interruptions, degradation or problems with the Ascendon System that are the result of (a) negligent acts or omissions of or made by Customer or its employees, or a Customer Vendor; (b) a Third Party Modification or the failure or malfunction of a Customer Integration, Customer Application, or Customer System; (c) the failure of other third party equipment, networks, applications, services or systems that are not incorporated in the Ascendon System or the specific Customer Ascendon Solution made available to Customer pursuant to an Ascendon Service Order (as so indicated in such Ascendon Service Order); provided, the failure of specific third party equipment, networks, applications, services or systems utilized by CSG in the Hosting (as defined below) of the Ascendon System shall not be deemed an Excluded Problem; (d) Scheduled Maintenance; (e) the failure of power or equipment at the premises of the Customer; (f) a Force Majeure ([********* ******** **** * ***** ******* ***** *** ** ****** ** ******** ******* ** *** *** ****** ** **** ************ ********** ******** ** ****** ******* *** ********(*) * ******* *** ********* ************** ********** **** ********* ******** ******** ********* *** *********** ******* ** *** ******** ****** *** ** *********** *** ********* ***** ** ****** **** *** *** **** ** ******]); (g) as provided in Section 7 of this Attachment 4Excluded Services; or (h) Customer’s failure to comply with (i) the Ascendon Web Services Standards or (ii) CSG’s prior certification of Customer’s integration or calls to the Ascendon Web Services.
Excluded Problems means any interruptions, degradation or problems with the Content Direct System that are the result of (a) negligent acts or omissions of or made by Customer or its employees, contractors, or agents; (b) failure or malfunction of equipment, networks, applications, services or systems not supplied, owned, controlled or maintained by CSG, its suppliers or third party service providers contracted by CSG in connection with the Content Direct System; (c) Scheduled Maintenance; (d) the failure of power or equipment at the premises of the Customer; (e) Force Majeure, (f) as provided in Section 5(b) of the CD Addendum or (g) an Excluded System.
Excluded Problems means any interruptions, degradation or problems with the Content Direct System that are the result of (a) negligent acts or omissions of or made by Customer, its Permitted Third Parties or a TWC Vendor; (b) failure or malfunction of a Customer Integration, Customer Application, TWC System or other services or systems not supplied, owned, controlled or maintained by CSG, its suppliers or third party service providers contracted by CSG in connection with the Content Direct System provided the problem is not caused by CSG’s failure to comply with its obligations under Section 4.5 of the Agreement; (c) Scheduled Maintenance; (d) the failure of power or equipment at the premises of the Customer; (e) Force Majeure, (f) as provided in Section 8(b) of Attachment A to this CD Addendum or (g) an Excluded System (as defined in Section 4 below).

Examples of Excluded Problems in a sentence

  • The Uptime Guarantee shall not apply to: (a) maintenance periods (both scheduled and unscheduled), (b) the Client’s or the Permitted Users’ internet connectivity, or (c) Excluded Problems, as defined in Section 4 below.

Excluded Problems means any Service Interruptions, degradation or problems that are the result of (a) negligent acts or omissions of Customer or its employees, contractors, or agents, including, without limitation, the repetition of any acts or omissions that CSG has cautioned such persons against; (b) failure or malfunction of equipment, networks, applications, services or systems not supplied, owned, controlled or maintained by CSG or , its suppliers; or third party service providers contracted by CSG in connection with the Content Direct System; (c) Scheduled Maintenance; (d) the failure of power or equipment at the premises of the Customer; (e) Force Majeure; or (f) CSG’s inability to contact the Customer notwithstanding commercially reasonable efforts to do so, whether or not due to Customer’s failure to provide CSG with valid and accurate contact information; or (g) as provided in Section 6 of this Schedule EExcluded Services.
