Failure Date definition

Failure Date is defined in Section 22.
Failure Date. As defined in Section 2(b)(v).
Failure Date means the date (should it occur) that the Court's Final Judgment and Order approving this Settlement as required in Section 6 is overturned, in whole or in material part, by final, non-appealable order or ruling of this Court or another court of competent jurisdiction with authority to do so, or when any one or more of the conditions in Section 8 are not satisfied; provided that the Failure Date shall mean December 31, 2006 or such later date as may be agreed to by the Settling Parties if neither the Failure Date nor the Effective Date shall have occurred on or before such date.

  • With respect to each fiscal quarter ended after a Milestone Failure Date, if the cumulative Net Sales through such fiscal quarter ended exceed the cumulative Milestones through such fiscal quarter, then all prior adjustments to this paragraph (e) shall be reversed.

Related to Failure Date

  • Transaction Failure Date means the 18-month anniversary of the Effective Date (or the 24 month anniversary of the Effective Date, if a letter of intent, agreement in principle or definitive agreement has been executed within 18 months after the Effective Date and the Business Combination relating thereto has not yet been consummated within such 18-month period).

  • Cure Date means the MuniPreferred Basic Maintenance Cure Date or the 1940 Act Cure Date, as the case may be.

  • Hire Date has the meaning given to it in Section 2.6(a).

  • Listing Failure Event means that:

  • Delay time means the difference in time between the change of the component to be measured at the reference point and a system response of 10 per cent of the final reading (t10) with the sampling probe being defined as the reference point.

  • MI Failure means when an MI report: a) contains any material errors or material omissions or a missing mandatory field; or b) is submitted using an incorrect MI reporting Template; or c) is not submitted by the reporting date(including where a Nil Return should have been filed);

  • Termination Date The scheduled Agreement “termination date” shall be the last day of the month of the month of the Original Solicitation’s Anticipated Award Date plus three years. Example: If the original term is approximately three years, and the solicitation provides an anticipated award date of May 22, 2020, the expiration date of the original three-year term shall be May 31, 2023. Extensions: Any extensions of the original term shall begin on the next day after the day the original term expires.

  • Public Information Failure Payments shall have the meaning ascribed to such term in Section 4.3(b).

  • Anniversary Each anniversary of the Cut-off Date.

  • Service Level Failure means a failure to perform the Software Support Services fully in compliance with the Support Service Level Requirements.
