FERC Orders definition

FERC Orders means, collectively, the FERC EWG (PPLM) Order, the FERC Section 203 Order, the FERC Part II Order, the FERC Section 205 Order, the FERC Waiver Order, the FERC EWG (Owner Lessor) Order, and the FERC OATT Order.

FERC Orders means any or all of the following of the FERC Orders required pursuant to Section 4.8 of the Participation Agreement:

FERC Orders set forth in Appendix A hereto, the Owner Participant and the Pass Through Trustees shall have received evidence of receipt of the FERC Orders.

Examples of FERC Orders in a sentence

• In accordance with the directives of FERC Orders 2003-A and 2003-B associated with Article 5.17.4 of the GIA, the annual reassessment of the current tax liability, which will commence the first year after Interconnection Customer’s in-service date.

• In no event shall such information be disclosed in violation of the requirements of FERC Orders 889 and 889-A, and any successor thereto.

• In accordance with the directives of FERC Orders 2003-A and 2003-B associated with Section 11 of this Attachment 2, the annual reassessment of the current tax liability, which will commence the first year after Interconnection Customer’s in-service date.

• In the event of a discrepancy between FERC Orders, and the language included in this document, FERC Orders shall prevail.

• In accordance with the directives of FERC Orders 2003-A and 2003-B associated with Article 5.17.4 of the LGIA, the annual reassessment of the current tax liability, which will commence the first year after Interconnection Customer’s in-service date.

More Definitions of FERC Orders

FERC Orders. The Facility Lessee has duly filed with FERC the filings referenced in Section 4.8 and, except with respect to the FERC Owner Lessor EWG Orders and the FERC Orders referred to in clause (v) of the definition of "FERC Orders" in Appendix A hereto, received from FERC the orders referenced therein.

FERC Orders. The Facility Lessee has duly filed with FERC the filings referenced in Section 4.8 and, except with respect to the determination by FERC of EWG status and the FERC Order referenced in clause (ii) of the definition of "FERC Orders" set forth in Appendix A hereto, received from FERC the orders referenced therein. Fully Taxable. As of the Closing Date, each Person owning an Ownership Interest (i) is fully taxable at the highest federal tax rate and (ii) expects to be fully taxable at the highest federal tax rate throughout the Facility Lease Term; for the avoidance of doubt, this representation is not intended to be construed as nor shall it be deemed to be a guaranty as to any such Person's future taxation.

FERC Orders herein shall not have been obtained and become final within ninety (90) days of the Closing Date, such election to be conditioned upon receipt of a reasoned legal opinion of nationally recognized independent counsel (Owner Participant's outside counsel at Closing to be deemed to meet such qualifications) that any pending proceeding, if adversely determined, would reasonably be expected to have a material adverse effect on the Owner Participant or the Owner Lessor; or

FERC Orders means the orders issued by the FERC approving the transfers of the FERC Licenses from Seller to Buyer.

FERC Orders set forth in Appendix A hereto, received from FERC the orders referenced therein. Fully Taxable. As of the Closing Date, each Person owning an Ownership Interest (i) is fully taxable at the highest federal tax rate and (ii) expects to be fully taxable at the highest federal tax rate throughout the Facility Lease Term; for the avoidance of doubt, this representation is not intended to be construed as nor shall it be deemed to be a guaranty as to any such Person's future taxation.

FERC Orders has the meaning given in Section 3.1(hh) of the Financing Agreement.
