Floor Value definition

Floor Value means the value calculated in the most recent Reserve Report delivered pursuant to Section 8.5 of the Indenture consisting of the sum of (a) the discounted present value (using six percent (6.0%) discount rate) of the projected net cash flows from the hedged portion of the Oil and Gas Portfolio through the Final Scheduled Payment Date using the hedged commodity prices with respect thereto, and (b) the discounted present value (using six percent (6.0%) discount rate) of the projected net cash flows from the unhedged portion of the Oil and Gas Portfolio through the Final Scheduled Payment Date using floor prices of $35.00 per barrel for oil, $2.00 per mcf for gas, and $12.25 per barrel for natural gas liquids, in each case calculated on an annual basis (or, to the extent the Manager in its discretion obtains an updated Reserve Report prior to any otherwise scheduled annually updated Reserve Report, calculated on a more frequent basis to reflect the projected proceeds described in such updated Reserve Report).

Floor Value means the quotient of (a) (i) $467,700,000 minus (ii) the amount of Indebtedness of the Company and its Subsidiaries as of such date, plus (iii) the amount of Cash as of such date in excess of the Working Capital Peg, divided by (b) the aggregate number of outstanding Units as of such date.

Floor Value means $10.00, as adjusted to appropriately and equitably reflect the changes described in Section 2.5.

Examples of Floor Value in a sentence

• If the Per Share Actual Value as of the Vesting Event does not exceed the Per Share Floor Value, no portion of the Options shall become vested.

• If the Per Share Actual Value at the date of the Vesting Event exceeds the Per Share Floor Value, 100% of the Options which are then outstanding shall become vested as of the Vesting Event.

More Definitions of Floor Value

Floor Value means One Hundred Eighteen Million Five Hundred Thousand Dollars ($118,500,000); provided, that, in the event that (i) one hundred percent (100%) of Annual Target III (as defined in the 2019 EAR) has not been achieved by December 31, 2022 and/or (ii) one hundred percent (100%) of Target III (as defined in the 2020 EAR) has not been achieved during the Target III Measurement Period (as defined in the 2020 EAR), then the Floor Value shall be decreased by a proportionate percentage equal to the aggregate percentage, if any, by which the Aggregate EAR Value was decreased as a result of the applicable target or targets not being achieved (i.e., if the Aggregate EAR Value is decreased by ten percent (10%), then the Floor Value would be proportionately decreased by ten percent (10%)).
