More Definitions of Formal Valuation

Formal Valuation means the formal valuation of the Shares provided by Maxit to the Special Committee in accordance with the requirements of MI 61-101, which concluded that, as of July 15, 2023 and based upon Maxit's analysis and subject to the assumptions, limitations and qualifications set forth therein, the fair market value of the Shares is in the range of US$1.40 to US$2.50 per Share, as further described under "Special Factors - Formal Valuation and Maxit Fairness Opinion", and in the Formal Valuation and Maxit Fairness Opinion, a copy of which is attached as Appendix C to this Circular.

Formal Valuation means the independent formal valuation of the Target Shares prepared in accordance with Rule 61-501 and Policy Statement Q-27 by the Independent Valuator; “fully-diluted basis” means, with respect to the number of outstanding Target Shares at any time, such number of outstanding Target Shares calculated assuming that: (a) all outstanding options, warrants or other rights to acquire Target Shares are exercised and Target Shares are issued pursuant thereto, whether or not such warrants, options or other rights are exercisable by the holder; and (b) all outstanding securities of the Target that are convertible or exchangeable into Target Shares are converted or exchanged, as applicable, whether or not such convertible or exchangeable securities are exercisable by the holder;

Formal Valuation means the formal valuation of the Shares prepared by TD Securities Inc. under the supervision of the Special Committee in accordance with the requirements of MI 61-101 for a formal valuation in respect of the transactions contemplated herein and in the Plan of Arrangement.

Formal Valuation means a valuation of either or both of the assets and liabilities of an investment fund that contains the opinion of a qualified and independent valuator as to the current value of the assets or liabilities, and that is prepared in accordance with Part 9;
