Fully Diluted Units definition

Fully Diluted Units means, as of any date of determination, the number of shares of Common Stock outstanding, plus (without duplication) all Units or, as the case may be, shares of Common Stock issuable, whether at such time or upon the passage of time or the occurrence of future events, upon the exercise, conversion or exchange of all then-outstanding Common Stock Equivalents.

Fully Diluted Units means the sum of (i) the aggregate number of Company Common Units outstanding immediately prior to the Effective Time and (ii) the number of Company Common Units underlying any Company In-The-Money Vested Options outstanding as of immediately prior to the Effective Time.

Fully Diluted Units means, as of any date of determination and with respect to Purchaser’s equity, the number of Units issued and outstanding as of such date; for the avoidance of doubt, such term excludes any grants under the inMarket Media LLC 2011 Contractual Equity Plan, which the Parties acknowledge is a deferred compensation arrangement.
