  • The Subadviser will be an independent contractor and will have no authority to act for or represent the Fund or Investment Manager in any way or otherwise be deemed an agent of the Fund or Investment Manager except as expressly authorized in this Agreement or another writing by the Fund, Investment Manager and the Subadviser.

  • It is further understood and agreed that Subadviser may rely upon information furnished to it by Investment Manager that it reasonably believes to be accurate and reliable; provided, however, that Subadviser shall be liable for any loss incurred by the Fund, Investment Manager or their respective affiliates to the extent such losses arise out of any act or omission directly attributable to Subadviser which results, directly or indirectly, in a material error in the net asset value of the Fund.

  • Personal Information relating to Fund, Investment Manager and its respective Affiliates, trustees, officers, partners, employees and agents, and of Fund investors or prospective investors, plan sponsors and plan participants will be processed by and on behalf of SS&C and its Affiliates.

  • In rendering its Services to the DS Fund, Investment Manager shall be deemed to be an independent contractor.

  • All deposits to the Accounts shall be subject to the Escrow Agent's receipt of a valid tax identification number for the Fund, Investment Manager or Potential Investor, as applicable.
