Funds Flow Letter definition

Funds Flow Letter has the meaning set forth in Section 4.1(b).
Funds Flow Letter. Means the letter entered into by the Purchaser, the Seller and the Notary setting out the flow of the Initial Consideration and the Escrow Amount, which letter will be attached to this Agreement as Schedule 5.2(b)(i);

Examples of Funds Flow Letter in a sentence

  • Buyer shall at Closing pay the amount of the Bank Borrowings (as set out in the Final Net Debt Calculation delivered in accordance with Section 2.2) to the Notary Third Party Account in accordance with the Funds Flow Letter.

  • Subject to the conditions set out in the Funds Flow Letter, the Notary will distribute the Total Consideration to the bank accounts and in those portions as set out in the Funds Flow Letter.

More Definitions of Funds Flow Letter

Funds Flow Letter. Means the funds flow letter as attached to this Agreement as Annex B;

  • Funds Flow Statement means a funds flow statement in agreed form.

  • Funds Flow Memorandum means the flow of funds memorandum in the agreed form prepared on behalf of the Company by Xxxxxx Xxxxxxxx containing details of the flow of funds at Closing.

  • Payoff Letter shall have the meaning set forth in Section 6.13.

  • Flow of Funds Agreement means a Flow of Funds Agreement, in form and substance reasonably satisfactory to the Agents, by and among the Loan Parties, the Agents and the Lenders, and the related funds flow memorandum describing the sources and uses of all cash payments in connection with this Agreement.

  • Disbursement Letter means an instructional letter executed and delivered by Administrative Borrower to Agent regarding the extensions of credit to be made on the Closing Date, the form and substance of which is satisfactory to Agent.

  • Lender Fee Letter means each fee letter agreement that shall be entered into by and among the Borrower, the Servicer and the applicable Lender in connection with the transactions contemplated by this Agreement, as amended, modified, waived, supplemented, restated or replaced from time to time.

  • New Lender Supplement as defined in Section 2.1(c).

  • Borrower Agreement shall have the meaning provided such term in Section 3(a) hereof.

  • Disbursement Agreement means the Master Disbursement Agreement, dated as of the Closing Date, by and among the Administrative Agent, the Bank Facilities Administrative Agent, the Disbursement Agent, the Borrowers and LCR, in substantially the form of Exhibit D-3 hereto, as the same may be amended, supplemented, amended and restated, or otherwise modified in accordance with the terms hereof and thereof.

  • Agent's Fee Letter means the letter agreement, dated as of the date hereof (as hereafter amended from time to time) between the Borrower and the Agent respecting certain fees payable to the Agent for its own account.

  • Administrative Agent Fee Letter means that certain fee letter, dated as of the date hereof, by and among the Administrative Agent and the Borrower.

  • Equity Commitment Letter has the meaning set forth in Section 3.4(a).

  • Mandate Letter has the meaning ascribed to it in the Memorandum of Understanding between MOHLTC and the LHIN, and means a letter from the Minister to the LHIN establishing priorities in accordance with the Premier’s mandate letter to the Minister.

  • Administrative Agent’s Fee Letter means that certain Administrative Agent’s Fee Letter dated as of January 13, 2010 by and among the Administrative Agent, International Paper and Borrower, as the same may be amended, restated or otherwise modified from time to time.

  • Debt Commitment Letter has the meaning set forth in Section 4.20.

  • Incremental Facility Agreement means an Incremental Facility Agreement, in form and substance reasonably satisfactory to the Agent and the Borrower, among the Borrower, the Agent and one or more Incremental Lenders, establishing Incremental Commitments and effecting such other amendments hereto and to the other Loan Documents as are contemplated by Section 2.18.

  • Agent Fee Letter means the Agent Fee Letter between Borrower and Agent, dated as of the Closing Date, as the same may from time to time be amended, restated or otherwise modified.

  • Instruction Letter means written instructions in a form acceptable to NCPS and executed by Issuer Party with Issuer Party directing NCPS to promptly disburse the Escrow Funds to Issuer pursuant to Section 4(a).

  • Disbursement Instruction Agreement means an agreement substantially in the form of Exhibit B to be executed and delivered by the Borrower pursuant to Section 6.1.(a), as the same may be amended, restated or modified from time to time with the prior written approval of the Administrative Agent.

  • Request for Letter of Credit means a written request for a Letter of Credit substantially in the form of Exhibit D, together with the standard form of application for letter of credit used by the applicable Issuing Bank, signed by a Senior Officer of the applicable Borrower and properly completed to provide all information required to be provided therein.

  • Commitment Agreement means the written agreement that may be required at EDTI’s sole discretion between a Customer and EDTI whereby the Customer both authorizes the design and construction of new or expanded Facilities and agrees to pay all cancellation costs if the project is cancelled or if the Customer fails to sign an Electric Service Agreement prior to the energization of the new or expanded Facilities;

  • Guaranty Joinder Agreement means each Guaranty Joinder Agreement, substantially in the form thereof attached to the Guaranty, executed and delivered by a Subsidiary to Administrative Agent pursuant to Section 6.14.

  • Replacement Letter of Credit means any letter of credit issued pursuant to a Replacement Revolving Facility.

  • Disbursement Schedule means the disbursement schedule as set out in an FAA;

  • Additional Lender Certificate has the meaning assigned to such term in Section 2.06(c)(ii)(F).

  • Solvency Certificate means a Solvency Certificate of the chief financial officer of Holdings substantially in the form of Exhibit G-2.
